Position Overview

ESSENTIAL FUNCTIONS

  • Conducts client interviews and maintains contact with the client.
  • Assists internal attorneys in the preparation of transactional closings, depositions, hearings, trials, and conferences.
  • Monitors and maintains Capital Health's enterprise contract management software. Creates and maintains a case management database.
  • Summarizes depositions, testimony, and interrogatories. Conducts investigations and documentary research. Attends executions of wills, court/administrative hearings, and real estate closings.
  • Drafts legal court documents, such as motions, affidavits, and subpoenas, and transactional documents, contracts, real estate leases, and trust. Organizes and tracks files related to case documents and important transactions.
  • Drafts organizational documents, including articles of incorporation and fictitious name registration. Drafts entity formation documents.
  • Drafts and files various federal and state forms, including SEC filings. Monitors and reports changes in filing, reporting, and franchise tax laws.
  • Performs due diligence, including UCC searches and good standing certifications.
  • Drafts documents for board meetings. Drafts special minutes for corporate activities.
  • Supports corporate records retention and maintenance.
  • Maintains accurate database of all pending or threatened litigation.
  • Performs other duties as needed.

MINIMUM REQUIREMENTS

Education: High school diploma or equivalency. Paralegal certification preferred.

Experience: Three years pf paralegal experience. Paralegal experience in a healthcare setting preferred.

Other Credentials:

  • Knowledge and Skills: Excellent customer service, organizational, interpersonal, and verbal and written communication skills. In-depth knowledge of legal terms, rules and principles.
  • Special Training: Proficiency with Microsoft Office (Word, Excel, PowerPoint, etc.).
  • Mental, Behavioral and Emotional Abilities: Proven attention to detail and ability to analyze legal documents for accuracy and completeness. Ability to maintain confidentiality and communicate with courtesy and efficiency in a variety of settings.
