Legal Technician – Corporate Law

As a Legal Technician, you will play a key role in our mission. Your main responsibilities will include:
Providing support in mergers and acquisitions files, including due diligence and the preparation of closing documents
Participating in the management of iA Financial Group’s corporate portfolio, including mergers, corporate reorganizations, liquidations, and dissolutions
Providing support in corporate financing matters, including public financings and intercompany financings
Drafting corporate documents such as articles, by-laws, resolutions, powers of attorney, mandates, and other corporate documentation
Ensuring the maintenance, updating, organization, and filing of corporate records
Providing support in permit renewals, regulatory filings, and corporate registrations for Group member companies in all Canadian jurisdictions
Participating in the monitoring of legislative, regulatory, and jurisprudential changes in corporate law
Providing support and participating in the analysis of applicable regulations and the drafting of required regulatory applications in the context of various transactional matters
Conducting legal research (legislation, doctrine, legal requirements)
Contributing to the continuous improvement of the team’s practices
Collaborating closely with legal counsel on various corporate law matters
Additionally, You May Be Required To:
Participate in the preparation, organization, and follow-up of board of directors and committee meetings of Group companies
Assist the corporate secretariat team with the preparation and follow-up of regulatory filings on SEDAR and SEDI
We are looking for someone who:
Holds a Diploma of College Studies (DCS) in Legal Techniques or another relevant field of study
Has a minimum of 10 years of relevant experience in corporate law or in a similar role
Is recognized for strong organizational skills and excellent priority management
Stands out for sound professional judgment, strong autonomy, and the ability to work on complex files
Demonstrates a strong ability to maintain a high level of performance under tight deadlines
Is comfortable with Microsoft Office tools and demonstrates strong technical skills
Shows a strong team spirit, shares knowledge, and supports the development of others
Provides excellent service to internal and external partners and constructively challenges existing practices
Demonstrates flexibility during peak periods
Stands out for their ability to quickly adapt to the work environment and build a network of contacts
Has experience in corporate secretariat work (an asset)
Stands out for knowledge of the Athennian platform (an asset)
Is fluent in French, both written and spoken
Has an advanced level of English, as the role requires reading, analyzing, and drafting legal documents, as well as interacting regularly with English-speaking colleagues and internal and external partners across Canada and the United States
