NOTE: This role is hybrid and requires 3 days a week in our Walnut Creek, CA office.
Serves as legal counsel to management in commercial transactions and new business initiatives. Provides legal advice, prepares and reviews contracts as well as other legal documents. Specialization in commercial contract drafting, negotiating, intellectual property and licensing. Experience in outsourcing and procurement matters. Performs under limited supervision. Functions as subject matter expert in area of specialization. May have primary accountability for client groups.
Essential Functions:
- Provides advice and counsel on legal issues impacting the Company's operations and business
- Provides legal guidance in connection with promotions, creative review, and IP clearance issues associated with marketing materials for all media
- Drafts, reviews, and negotiates a variety of contracts including marketing, software, partnership and vendor agreements
- Engages and manages outside counsel within area of responsibility in a cost-effective manner
- Drafts, reviews, advises and negotiates contracts, policies, procedures and other legal documents with a higher degree of complexity
- Initiates and leads cross-divisional and enterprise projects. Interacts and influences business to help drive business results
- Directs and oversees the work of legal secretaries and paralegals when applicable. Mentors and trains more junior attorneys and paralegal
- Performs special projects (substantive, administrative and practice management) for the legal department, including those involving a higher degree of complexity, business impact or financial or personnel resources
- Develops and/or conducts training programs for supervisors, managers and/or employees
Knowledge/Skills/Abilities:
- Substantial knowledge of current law and issues within area of specialty
- Understanding of laws and regulations governing promotions and advertising
- Experience providing legal guidance in connection with promotions, creative review, and IP clearance issues associated with marketing materials for all media.
- Experience drafting, reviewing, and negotiating a variety of contracts including marketing, software, partnership and vendor agreements.
- Ability to communicate orally and in writing in an organized, effective and timely manner
- Computer skills, MS Office, online research tools such as WESTLAW
- Ability to work in an organized, efficient manner
Education & Experience/Licenses & Certification:
- BA/BS - Bachelor's degree in related area or an equivalent combination of education and experience
- J.D. from accredited university
- Certification(s) and/or licensure(s) in a functional area
- California State Bar license in good standing
- 5+ years’ experience advising clients in a major law firm or an in-house law department, including advising on complex legal matters
Work Environment/Physical Requirements
Works in an office environment sitting at a desk, table or computer workstation for extended periods of time. May travel by car, plane or other form of transportation to attend business meetings or conferences. Approximately 50-80 percent of the time spent on the job involves the use of a personal computer.
We target between minimum and midpoint of the range, and all offers are subject to a fair pay analysis - Compensation Range: Min: $131,860.00 - Mid: $188,370.00- Max: $244,882.00
