Get To Know The Role

  • Ensure smooth conduct and attend meetings such as board, board committee and senior management related meetings and prepare accurate and timely minutes and BNM submissions.

  • Planning and execution of Board/Board committees/Shareholders’ meetings, including the setting of agenda, preparation of notices, board papers, resolutions and actioning of items arising from meetings.

  • Ensuring compliance with statutory requirements and liaising with secretarial firm.

  • Assists all matters in relation to corporate secretariat and corporate governance to ensure compliance with statutory or regulatory requirements, including Companies Act 2016, Financial Services Act 2013, BNM policy documents,

  • Corporate Governance, and advise on the latest developments of applicable rules and regulations.

  • Be the custodian of the common seal for the Bank.

  • Advise board and senior management team on corporate governance matters.

  • Review TOR for BOD and relevant submissions.

  • Act as official liaison person with regulators/external auditors/advisors.

  • Prepare relevant proposals for BOD.

  • Management, update and implementation of terms of references with

  • stakeholders in the Bank and Board.

  • Ensure maintenance of statutory registers and filing of statutory forms with the registrar in compliance with applicable laws.

  • Advise, structure, draft and negotiate a wide range of agreements and other documentation.

  • Provide effective interpretation and recommendation on regulations and policies affecting the business and legal documentation.

  • Interfacing as necessary with other business support teams within the Group.

  • Monitor ongoing legislation and regulatory changes applicable to the Bank.

  • Represent the Bank’s interests and interface directly with external counsel, as appropriate.

  • Filling of any company secretarial matters with Syarikat Suruhanjaya Malaysia (SSM).

The Must-Haves

  • ICSA qualified or pursuing MAICSA.

  • A Bachelor Degree or an equivalent tertiary academic qualification in Law (LLB) from a reputable university would be an added advantage.

  • Demonstrated success in thriving in a fast paced and collaborativ environment, experiencing rapid growth and expansion.

  • Self-driven and highly motivated individual.

  • Ability to work independently, demonstrating a meticulous and detail-oriented approach to all tasks.
