Job Summary

The Senior Director of Corporate Compliance is responsible for monitoring and maturing Vistra’s Corporate Compliance Program to promote an organizational culture that encourages ethical conduct and ensures that business practices and activities comply with regulatory requirements and internal policies.

Job Description

Duties related to Corporate Compliance Program include:

  • Developing and implementing an effective corporate compliance program
  • Creating sound internal controls and monitoring adherence to them
  • Developing, maintaining, & revising policies & procedures for general operation of the Vistra’s Compliance Program & its related activities.
  • Coordinating, monitoring, and reporting of compliance activities of other departments to remain abreast of the status of all compliance activities and to identify trends.
  • Creating reports for the Board of Directors/Committees, leadership, and Compliance Leadership Team informing them of the operation/progress of compliance efforts.
  • Instituting and maintaining an effective compliance communication program for the organization, including promoting (a) use of the Compliance Helpline; (b) heightened awareness of the Code of Conduct, and (c) understanding of new and existing corporate or retail compliance issues and related policies and procedures.
  • Working with HR and other departments to develop an effective compliance training program, including appropriate introductory training for new employees as well as ongoing training for all employees and managers.
  • Collaborating with HR to address alleged violations of rules, regulations, policies, procedures, and the Code of Conduct. Consults with counsel in the Legal Department as needed to resolve legal compliance issues.


Education, Experience, & Skill Requirements

  • Master’s Degree, J.D. or other advanced degrees in business or law advantageous but not required.
  • Minimum of 7 years of compliance-related experience
  • Knowledge of laws, regulations and industry standards relating to corporate ethics and compliance and/or the energy industry
  • Demonstrated sound judgment and an elevated level of integrity, professionalism and work ethic
  • Superior oral and written communication skills, strong detail and analytical skills, and the ability to identify and explain complex compliance requirements and convey difficult messages to all stakeholders.
  • Demonstrated strong process improvement, problem solving, strategic thinking, and decision-making skills
  • Demonstrated strong leadership skills including the ability to remain self-motivated, operate with minimal direct supervision, and managerial experience of both direct and indirect reports
  • Should have a strong moral code and sense of ethics


Key Metrics

  • Incident reporting and response time: Monitoring the number of incidents reported and the time it takes to respond. 
  • Audit Findings and corrective actions: Number of findings in compliance audits and effectiveness of corrective actions taken. 
  • Risk assessment results: Findings from regular risk assessments to identify and track potential compliance risks
  • Regulatory compliance rates: Extent to which the company complies with all relevant laws and regulations. 
  • Regulatory change response time: How quickly the compliance program adapts to new or changing laws and regulations.
