REQ14514 Senior Manager, Equity Administration (Open)
POSITION SUMMARY:
- Ensure the accuracy and integrity of all equity-related compensation data for internal and external purposes.
- Provide timely and helpful customer service to all grantees for company equity.
- Ensure accurate annual share/option awards/grants, payment and exercise processes and financial statement reporting and disclosure that are all compliant with internal controls, legal agreements and regulatory requirements.
PRIMARY RESPONSIBILITIES:
- Manage the process to ensure all aspects of the Company’s global equity plans, including all grants, vesting, exercises and cancellations or restricted shares/stock options, are executed timely, accurately and in compliance with all internal controls.
- Ensure all equity compensation processes and data comply with local and international regulations and securities laws, as well as tax withholding and reporting rules.
- Maintain database integrity and ensure accuracy of recordkeeping of equity data
- Ensure all equity activity is properly and timely reported to Payroll and Finance
- Process dividend payments and delivery of payment statements
- Develop partnerships with cross-functional teams, including Legal, Tax, Payroll, Accounting, Audit, Financial Reporting and Human Resources
- Assist SVP in preparing recommendations for annual new grants and structure for Compensation Committee approval
- Respond to senior employee inquiries and coordinate with internal teams and vendors as appropriate to resolve issues
- Ensure high levels of customer service for employees regarding questions on shares, impacts on tax withholding and other queries related to equity compensation
- Provide employee training regarding changes in programs, processes and tools, as needed
- Primary relationship manager for Computershare and work closely with broker(s) and trustee(s) as needed
- Back-up approver for Corporate Payroll processes
- Other projects and activities as needed and requested by management
- Manage a team of one
QUALIFICATIONS:
Experience
- Minimum 5 years experience with employee share plans (SIP/ESOP) for a listed company or a brokerage;
- Experience in finance, accounting, legal and/or payroll strongly preferred;
- Prior experience with equity grants for both US and HK publicly traded companies;
- Working knowledge of the regulations and disclosure requirements for equity awards under both US GAAP (20-F filing) and IFRS (HK annual and interim reports);
- Proven ability to interpret and understand legal documents such as, security and tax regulations and government legislation
- Experience with multiple equity plans and publicly traded companies is a plus
- Team management experience a plus
Education
- Bachelor's Degree or equivalent relevant qualifications, preferable in Finance, Accounting or Economics
- Professional qualification such as CFA/CPA or similar is a plus
Skills / Competencies
- Working knowledge of Computershare Equity Administration and Workday a plus
- Good communication, interpersonal skills, and the ability to establish strong working relationships at all levels with internal and external parties
- Detail orientation is mandatory
- Conversant in English required, Cantonese/Mandarin a plus
- Strong analytical and problem solving skills required
- Excellent Excel and Word skills required
- Strong understanding of GDPR and other data privacy laws
- Ability to manage sensitive matters professionally is required
