Position Overview
We are seeking a detail-oriented and highly organized Paralegal to support our in-house legal team in managing corporate governance, compliance, and transactional matters. This role plays a critical part in maintaining corporate records, supporting business operations, and ensuring adherence to regulatory requirements.

Key Responsibilities of the Paralegal
Corporate Governance & Entity Management
Maintain corporate records, minute books, and entity management databases
Prepare and file formation documents, annual reports, amendments, and dissolutions
Draft board and shareholder consents, resolutions, and meeting materials
Coordinate board meetings, including preparation of agendas and documentation
Track and maintain compliance with corporate governance requirements across multiple jurisdictions
Contracts & Transactional Support
Assist with drafting, reviewing, and managing commercial agreements (NDAs, vendor agreements, service agreements, etc.)
Maintain contract lifecycle management processes and contract repositories
Track key contractual obligations, renewals, and deadlines
Support due diligence efforts for mergers, acquisitions, financing, or other transactions
Compliance & Regulatory Support
Assist with regulatory filings and reporting requirements
Monitor compliance deadlines and maintain compliance calendars
Support internal policy development and documentation
Assist with risk management initiatives and internal audits
Cross-Functional Collaboration
Partner with finance, HR, and operations teams on legal and compliance matters
Respond to internal legal inquiries and provide administrative support to the legal department
Coordinate with external counsel as needed
Qualifications of the Paralegal
Associate’s or Bachelor’s degree required; Paralegal Certificate preferred
3+ years of corporate paralegal experience (in-house preferred)
Strong knowledge of corporate governance and entity management
Experience supporting commercial contracts and transactional matters
Familiarity with multi-state entity compliance and filings
Proficiency in Microsoft Office and contract/entity management systems
