Your Next Career Opportunity – Manager, Legal Affairs

The Manager, Legal Affairs shall be responsible for providing expert legal advice to support business stakeholders and ensuring legal and regulatory compliance. The person in this role shall also be responsible for updating the organization on legal developments that impact the industry. The incumbent shall in addition be responsible for managing external legal partners, ensuring KPIs are met and that a professional service is rendered to the business.

What You Will Do – Primary Responsibilities

  • Establish (in cooperation with Legal Senior Leadership and other SBACC headquarters personnel), implement, and maintain standards for the acquisition or leasing of real property in the Territory for development as a communications tower site, including preparation, review, and maintenance of standard form documents, standards for required development activities (such as obtaining necessary development and environmental approvals), standards for the review of title, standards for the registration of title, etc. to ensure compliance with local real estate laws.
  • Manage all licensure and regulatory matters in the Territory, and all administrative and litigation proceedings involving licensure and regulatory matters in the Territory, including:
    • Civil aviation authorities
    • Telecommunications authorities
    • Land use development authorities
    • Real estate ownership and brokerage
  • Establish (in cooperation with Legal Senior Leadership and other SBACC headquarters personnel) standards and diligence requirements for general contracting in the Territory, including establishment and maintenance of forms of and negotiation of:
    • Letters of Intent
    • Build to Suit Agreements
    • Master Lease Agreements
    • Construction Contracts
    • Service Agreements
    • Brokerage Agreements
    • Confidentiality Agreements and Nondisclosure Agreements
    • Independent Contractors Agreements
    • Ground Leases
    • Tenant Leases
    • Office Leases
  • Manage general representation of property management issues in the Territory, including:
    • Addressing general real estate questions
    • Managing litigation
  • In cooperation with Legal Senior Leadership and other SBACC headquarters personnel, implement, refine, and monitor processes and procedures in the Territory to ensure consistency with SBACC practices in all legal areas, including but not limited to:
    • Registration of documents
    • Conversion of possessory rights
    • Change of ownership
  • Upon request, assist in the closing process for M&A transactions in the Territory, the transitioning of acquired assets to operations following closing, and the implementation of international loan programs.
  • With Legal Senior Leadership coordinate and monitor anti-corruption training of employees and vendors in the Territory and anti-corruption diligence for vendors and M&A transactions in the Territory.
  • Upon request, coordinate labor/employment/union issues in the Territory with the Human Resources Director or designee.
  • In cooperation with other SBACC headquarters personnel, assist with corporate organizational matters for SBACC’s subsidiaries in the Territory, including filings and powers of attorney.

What You’ll Need – Qualifications & Requirements

  • Bachelor's Degree in Law or international equivalent of Juris Doctorate; and 3-5 years of experience, preferably in real estate transactions including, but not limited to landlord-tenant relations, development and construction. Wireless industry knowledge preferred.
  • Licensed/bar admitted to practice law in Territory required. If not licensed to practice law in Territory, must be otherwise permitted to practice law in Territory without being subject to discipline.
