Its Legal Department, which spans the globe, is looking for a Legal Counsel, Corporate based in Montreal who has a positive and proactive attitude and is an excellent team player.
Description
Reporting to the Manager, Corporate and Securities Law & Assistant Corporate Secretary and working closely with other members of the Legal Department in Montreal and around the world, the Legal Counsel, Corporate will:
Contribute to key corporate initiatives, including mergers and acquisitions, securities matters, and financing transactions (including public or private debt or equity offerings).
Review and draft continuous disclosure documents in coordination with CAE’s Disclosure Committee, including press releases, annual information forms, proxy circulars, management’s discussion and analysis (MD&A), and other securities filings.
Assist the Assistant Corporate Secretary and the Chief Legal Officer in preparing materials for meetings of the Board of Directors and its committees, and for the annual shareholders’ meeting.
Participate in a broad range of corporate law matters involving the head office (and in collaboration with other corporate teams such as Treasury and Tax), including advising on dissolutions, reorganizations, cash repatriations, intercompany agreements, credit facilities, etc.
Provide advice on corporate governance trends, investor relations matters, and sustainability disclosure efforts and related regulations, and take part in the development and improvement of relevant internal procedures and policies.
Coordinate the various files assigned to external law firms.
Participate in Legal Department initiatives aimed at developing, managing and implementing templates, processes and procedures, delivering effective training, and providing substantive support to other members of the legal team, as needed.
Minimum Qualifications
A Bachelor of Laws degree (diploma or training in Common Law would be an asset).
Membership in the Quebec Bar or equivalent from any Canadian province.
3 to 5 years of relevant experience as in-house counsel for a publicly traded company or in a private law firm.
Experience in mergers and acquisitions, securities law and general corporate law.
An excellent command of French and English (oral and written) and good writing skills.
Proficient skills in the use of Microsoft Office, mainly Word, and functional skills in the use of PowerPoint and Excel.
