The Role
Nordic seeks to hire a proactive and business-oriented IT Outsourcing and Managed Services Attorney to join our legal team. This role will report to Nordic’s General Counsel. This role is responsible for a wide range of tasks, including but not limited to serving as a leader in structuring and negotiating large, complex, multi-year commercial contracts related to application managed services and outsourced information technology service offerings, inclusive of providing associated counsel on risks mitigation strategies, financial exposures and legal obligations. The responsibilities will also include effectively partnering with business leaders on a wide array of projects related to privacy, cloud, and data transformation. This position offers the opportunity for a talented and motivated attorney experienced in negotiating and drafting terms related to IT outsourcing transactions.
Key Responsibilities
Responsibilities of the IT Outsourcing Attorney will include, but not be limited to:
- Drafting, reviewing, and negotiating complex contracts related to sales and delivery of outsourced IT and managed services, including agreements covering IT infrastructure, maintenance services, software licensing, data storage and data center operations, employee rebadging and IP transfer
- Advising business partners on conditions, risks, and terms in complex outsourcing relationships, including service level, pricing, personnel transfer, and benchmarking provisions
- Providing advice on development of policies, processes, and procedures to govern outsourcing contractual relationships
- Drafting, reviewing, and negotiating cloud, application development and licensing, and general consulting agreements
- Providing thoughtful, creative and timely legal advice to various business lines (e.g., advice on data privacy, IP development and licensing)
- Assisting with various employment, data privacy and security, and other legal matters
- Working on projects that may be assigned on an ad hoc basis and leading or assisting in other initiatives as necessary, directed, assigned, or requested
Skills and Experience
- J.D. degree from an ABA accredited law school and membership in at least 1 U.S. State Bar, with good standing
- At least 7 years of experience as a lawyer, preferably at both a firm and in-house, and at least 5 years of experience drafting and negotiating complex ITO and managed services agreements, including IT, applications and/or business process outsourcing agreements
- Knowledge of and experience working with healthcare/hospital organizations
- Demonstrated experience working on US and international transactions
- Thorough knowledge of privacy laws and their impact on business operations
- Excellent interpersonal and communication skills and exceptional ability to communicate information effectively and simply, both internally and externally, importantly including to non-legal audiences, and to drive cross-functional alignment and action
- Ability to manage and deliver on a diverse and complex workload while maintaining priorities and proactively anticipating issues in a high-growth, fast-paced environment
- Proven ability to hold yourself and others accountable for meeting and exceeding expectations and delivering results
- Strong business and financial acumen, including an understanding of evolving market-related issues
- Must be able to work independently as well as within a team environment, and adapt quickly to changes in work environments
- Ability to work irregular hours as needed
- Strong work ethic and high degree of professionalism
- Must demonstrate and embody Nordic’s maxims
