Role Summary
This role will be responsible for leading a team of legal professionals to provide the organization with legal advice and representation on corporate matters, prepare resolutions and forms, and participate in major legal actions. Additionally, the role advises on a wide range of business-related legal areas such as corporate governance, compliance, and transactions.
Core Responsibilities
Hires, evaluates, and supervises crew. Provides guidance and training as necessary to develop crew. Sets performance standards, reviews performance, and makes informed compensation decisions in accordance with all applicable Human Resources policies and procedures.
Provides business leaders with legal advice on corporate matters to ensure their activities, policies, business practices, and transactions comply with all relevant laws and regulations.
Drafts and negotiates legal documents such as regulatory filings, contracts, agreements, and correspondence of legal significance.
Monitors, analyzes, and responds to legislative and regulatory developments relevant to corporate law to ensure they are adequately addressed.
Represents the organization in complex, controversial, significant, or specialized legal proceedings before courts, government agencies, or other authorities so the organization's interests are protected.
Directs the work being performed by outside counsel. Reviews and evaluates outside counsel invoices.
Maintains a high level of expertise in corporate law, Vanguard’s business, and the investment industry. Stays abreast of industry and regulatory developments affecting Vanguard, and maintains affiliations with relevant industry, compliance, and risk associations.
Researches, analyzes, and interprets proposed and existing laws, statutes, and regulations to advise the business.
Identifies, evaluates, and addresses issues of legal risk across multiple domains.
Structures, drafts, negotiates, and/or approves legal contracts, letters of agreement, policies, and other documents related to trade, commercial, financial, and operational matters.
In-house legal counsel may also be accountable for liaising with external legal counsel on complex legal issues.
Participates in special projects and performs other duties as assigned.
Qualifications and Skills
Minimum 10 years of relevant work experience, with supervisory experience preferred.
LLB/LLM in Law from a recognized institution; additional qualifications such as CS, MBA (Legal/Corporate Governance), or equivalent are desirable.
In-depth knowledge of corporate law, governance standards, compliance regulations, and business-related legal frameworks (domestic and international).
Proven track record in drafting, negotiating, and reviewing contracts, policies, and regulatory filings, as well as handling litigation and dispute resolution.
Experience in regulatory liaison and audits, including interactions with government agencies, responding to notices, and ensuring compliance closures.
Strong skills in legal risk assessment, policy interpretation, and providing business-focused legal solutions across diverse practice areas.
Excellent communication, advisory, and stakeholder management skills, with the ability to influence senior leadership.

This role is based in Hyderabad, Telangana at Vanguard’s India office. Only qualified external applicants will be considered.
