POSITION SUMMARY
The Head of Legal & Compliance is responsible for providing comprehensive legal and compliance support to the JV terminal’s senior management team. The role combines hands-on legal advisory responsibilities with ownership of the terminal’s compliance programme, covering anti-bribery and corruption (ABC), sanctions and export controls, regulatory compliance, and ethical business conduct.
This position acts as a trusted adviser to the terminal management team, ensuring the terminal operates in full compliance with Vietnamese law, joint venture obligations, and applicable international compliance standards, while enabling business objectives to be achieved in a compliant and commercially pragmatic manner. This role is critical to safeguarding the terminal’s legal standing, ethical reputation, and licence to operate in Vietnam, while supporting sustainable growth and operational excellence
JOB RESPONSIBILITIES
1. Legal Advisory & Regulatory Compliance
Advise terminal management on local legislation, statutory obligations, and regulatory frameworks.
Represent the terminal in legal and regulatory hearings.
Manage relationships with external legal firms and government authorities.
Lead legal matters related to real estate and port concessions.
Oversee environmental compliance and operational permitting.
Negotiate and review contracts with suppliers, contractors, and port authorities.
Coordinate tender processes and contractual negotiations.
Stay updated on legislative and regulatory changes.
Lead legal risk assessments and provide practical, solution-oriented advice.
Deliver internal training on legal topics to other business areas.
2. Claims and insurance management
Oversee material claims and coordinate with insurers.
Maintain databases and documentation for audits and compliance.
Align claims processes with corporate policies.
3. Compliance Programme Leadership
Lead and manage the terminal compliance programme, aligned with corporate and international standards.
Provide compliance advice with an initial and continuing focus on: Anti-Bribery and Corruption (including FCPA and UK Bribery Act principles) and Sanctions and export controls
Develop, implement, and maintain compliance policies, procedures, and controls tailored to the terminal’s risk profile.
Conduct compliance risk assessments, monitoring, and reporting.
Support due diligence processes for third parties, business partners, and government-related engagements.
Provide compliance guidance for complex transactions, projects, and government interactions.
Lead or support internal investigations into allegations relating to corruption, sanctions, or other compliance breaches.
Support the design and effectiveness of internal controls relevant to compliance risks.
Deliver training and awareness programmes to employees and relevant third parties in both Vietnamese and English.
Promote a strong culture of integrity, transparency, and ethical conduct across the terminal
ROLE REQUIREMENTS
Have a bachelor's degree in Law or equivalent. Candidates with legal qualifications admitted to practice in Vietnam are preferred.
Minimum 5-8 years’ experience in a legal and compliance role. Experience in ports, terminals, infrastructure, and logistics is strongly preferred.
Have strong experience in: 1/ Contract drafting and negotiation. 2/ Regulatory and commercial legal matters advisory. 3/ Implementing and maintaining compliance programmes. 4/ Anti-bribery and corruption compliance. 5/ Sanctions and export control compliance. 6/ Third-party due diligence, training, and investigations
Strong understanding of the Vietnamese regulatory landscape and international compliance laws (e.g. FCPA, UK Bribery Act)
Analytical, structured thinker with the ability to translate legal and compliance requirements into practical business solutions.
Strong stakeholder management and communication skills, with the confidence to engage senior management.
Fluent in Vietnamese and English (written and spoken).
High ethical standards, integrity, and sound professional judgement.
Comfortable acting as a trusted adviser while maintaining independence.
Commercially minded with a pragmatic approach to risk management.
Able to work independently in a JV environment while collaborating effectively with regional and group stakeholders.
Culturally aware and comfortable working across different nationalities and governance structures.
