Objective of the role (Why)

The Head of Legal for Ayvens Bank shall primarily ensure that all legal matters of the bank are addressed and handled properly and in compliance with the applicable corporate and regulatory (DNB and ECB) governance and aligned with Société Générale and Ayvens standards.

Areas of responsibilities and Competencies (What & How)

  • Legal advice and compliance:
    • Providing legal support on compliance with banking regulations (Wft, PSD2, CRR/CRD) and privacy legislation (GDPR).
    • Advising and supporting the implementation of changes in laws and regulations that affect Ayvens Bank's business operations, contracts and general terms and conditions.
    • Assisting the bank with the necessary changes in the field of governance, including updating mandates, contract powers and internal rules.
  • Corporate housekeeping & [Deputy Company Secretary]
    • Ensuring corporate housekeeping within Ayvens Bank.
    • Acting as Deputy Company Secretary to the Ayvens Bank Managing Board and Supervisory Board, including the responsibility to provide governance advise, maintain internal corporate governance documentation and prepare and minute the board meetings (agenda, logistics, document collection and review etc).
  • IT- en Outsourcing contracts:
    • Supervising and drafting outsourcing and IT contracts in compliance with DNB/ECB guidelines.
    • Coordinating the renewal and updating of key (supplier) contracts, such as the contracts with technology service providers.
  • Privacy and customer contacts:
    • Managing legal issues regarding privacy and data protection (1st line), including drafting and amending data processing agreements (DPA) and privacy statements.
    • Advising on customer communication with regard to legal, privacy and compliance issues, including complaint handling and compliance issues such as Kifid processes.
  • Audits en Remediation Projects:
    • Coordinating internal and external audits (e.g. KPMG, Société Générale). Responsible for the follow-up of audit findings and the implementation of necessary improvements.
    • Leading remediation projects, such as reviewing terms and conditions and other documents, so that they are fully compliant with laws and regulations.
  • Governance en Stakeholder Management:
    • Advising on the governance structure of Ayvens Bank and supporting the set-up of internal risk management models (e.g. RACI models).
    • Supporting the management team and other internal stakeholders with legal and compliance issues, acting as a trusted sparring partner.
  • Restructuring and Integration of LeasePlan elements:
    • Assisting with the legal aspects of the integration of the remaining LeasePlan structures into Ayvens Bank, including the transfer of shares, dividends and other legal entities.

Personal characteristics

Skills

  • Hands-on mentality and able to switch both strategically and operationally within a dynamic, small organization that falls under the umbrella of a large international player.
  • Strong communication skills in both Dutch and English, with a pragmatic and solution-oriented approach.
  • Ability to independently prioritize and manage projects effectively within a complex, regulated environment.

Experience

  • 8-12 years’ experience within the financial sector, preferably with a focus on banking law, contract law, and privacy.
  • Knowledge of European and Dutch legislation (Wft, PSD2, CRD/CRR, GDPR, EBA guidelines) and experience with bank conditions, outsourcing and IT contracts.
  • Experience with governance issues, audit processes, and working in a matrix organization.
