The Director of Executive Compensation will lead the design, implementation, and governance of executive pay programs, including base salary, annual incentives, long-term equity plans, and employee equity programs. This role ensures alignment with business strategy, market competitiveness, and regulatory compliance while supporting the company’s ability to attract and retain top executive talent. The role reports directly to the Senior Vice President, Total Rewards, will also manage a small team, direct work, and contribute to special strategic compensation projects.

Key Responsibilities:

  • Program Design & Strategy
    • Develop and manage executive compensation programs aligned with company goals and shareholder interests.
    • Partner with senior leadership and Compensation Committee on pay philosophy and strategy.
  • Market Analysis & Benchmarking
    • Conduct competitive market analysis using executive compensation surveys.
    • Recommend pay structures based on market data and internal equity.
  • Governance & Compliance
    • Ensure compliance with local regulations, tax laws, and disclosure requirements.
    • Prepare materials for Board and Compensation Committee meetings.
  • Annual Proxy Process
    • Lead the preparation and coordination of executive compensation disclosures for the annual proxy statement.
    • Collaborate with Legal, Finance, and Investor Relations to ensure accuracy and compliance with SEC and local regulations.
  • Incentive Plan Management
    • Oversee annual and long-term incentive plan design and administration.
    • Model financial impact and scenario planning for proposed changes.
  • Employee Equity & ESPP Programs
    • Manage administration of employee equity programs and Employee Stock Purchase Plan (ESPP).
    • Ensure accurate grant processing, compliance, and employee communication.
    • Partner with vendors and internal teams to optimize program effectiveness.
  • People Leadership
    • Manage at least one direct report, providing coaching, development, and performance feedback.
    • Delegate and prioritize work to ensure timely and accurate delivery of compensation programs.
  • Executive & Board Interaction
    • Collaborate with senior executives and support presentations to the Board and Compensation Committee.
    • Prepare clear, concise, and well-structured materials for leadership discussions.
  • Special Strategic Projects
    • Lead or contribute to high-impact compensation initiatives such as pay equity analysis, global harmonization, or M&A integration.
  • Stakeholder Engagement
    • Communicate programs effectively to executives and internal stakeholders.
    • Build strong relationships across HR, Finance, and Legal teams.
  • Reporting & Analytics
    • Provide insights on pay trends, equity usage, and compensation cost modeling.
    • Support proxy disclosures and executive pay reporting.

Qualifications:

  • Bachelor’s degree in HR, Finance, Business (Master’s or MBA preferred).
  • 8+ years of experience in compensation, with at least 2 years focused on executive pay.
  • Strong knowledge of executive compensation practices, governance, and regulatory requirements.
  • Experience supporting Board and Compensation Committee interactions.
  • Exceptional communication and presentation skills, with the ability to simplify complex topics.
  • Advanced analytical and financial modeling skills.

  • Strong project management and leadership skills

Salary Pay Range

Minimum :

185,000.00 USD

Maximum :

220,000.00 USD
