The Corporate Legal Specialist serves as a specialized team member within the Legal Organization, leveraging deep expertise in legal processes, documentation, and compliance requirements. The position is responsible for providing advanced support to the Corporate Law Department, focusing on public company securities, compensation & benefits, and governance matters. The incumbent will engage directly with directors and executive officers of the Company - ensuring accuracy, efficiency, and consistency in legal workflows. This is a remote opportunity.
What will my duties and responsibilities be in this job?
Supporting the Corporate Law Department with activities relating to Securities and Exchange Commission (SEC) filings (Proxy and Section 16) and compensation & benefits-related projects, policies, and processes, as described below:
Managing, and at times leading, processes relating to the proxy statement filing, including project management and coordination with various stakeholders, drafting and benchmarking sections, coordinating with the proxy service provider and printer, and ultimately filing
Managing Assurant’s compliance with Section 16 filings, including responsibility for filings, preclearance, onboarding, and offboarding
Supporting various Corporate Law Department projects, policies, and processes, including D&O questionnaires, investor outreach, and retirement plan audits, as well as tracking proxy advisor policies, scores, and data submission, and top investor policies and share ownership (based on Schedules 13D/G)
Supporting drafting of compensation & benefits plans and benefits plans committee meeting presentations, and drafting minutes, resolutions, documents, and certificates
Serving as the expert, advising the department, benchmarking, and recommending best practices related to these workstreams
Offering interim support when other team members are occupied or out of the office, including insider trading support.
Serving as a resource to the Corporate Legal Administrator, the Sr. Board Manager, and the subsidiary corporate secretary’s team.
Working to meet the Corporate Law Department’s mission and purpose, which includes proactively engaging with partners and colleagues throughout the enterprise to advance Corporate Law Projects in alignment with enterprise goals; assisting with the establishment, implementation and enhancement of team and operational processes to efficiently and effectively use Assurant’s resources including through the use of artificial intelligence (AI); supporting legal research efforts and the analysis of information; drafting and reviewing documents; submitting required filings; coordinating, organizing and responding to internal and external information requests; and setting up administrative files, records and related communications
What are the requirements needed for this position?
Bachelor’s degree, paralegal certification, legal administration certification, or equivalent.
A minimum of 6 years of progressive experience as a legal assistant, paralegal, or legal administrator, with demonstrated subject matter expertise in managing activities required of an active public corporate law department.
Experience with legal technology platforms (e.g., Workiva, EDGAR Next, Intelligize) is a plus.
Experience leading complex projects requiring collaboration with various functional areas.
Experience serving as an expert and advisor with respect to corporate legal administration activities.
