Position Overview:

This position provides paralegal and other support for management’s reporting to Freddie Mac’s Board of Directors, the company’s filings with the SEC, and Freddie Mac’s employee benefit plans and employee and executive compensation programs. 

Under the general supervision of the Governance, Disclosure, and Benefits Department’s attorneys and Board Liaison Senior Director, the incumbent will draft documents (including disclosures, meeting agendas, minutes, resolutions, and legal memos), be responsible for distribution of materials through the board reporting portal (Diligent) and other secure document distribution technologies, and provide analytical and operational support for the department’s functions. 

The incumbent will need to be able to handle multiple projects simultaneously, consistently meet deadlines, perform legal and business research, and work professionally with senior executives and Board members.

Our Impact:

  • The Governance, Disclosure and Benefits team provides critical legal advice and support for the Company’s SEC reporting.

  • We provide legal and governance advice to the Company’s Board of Directors and its committees, and manage corporate governance matters, including board reporting, independence, recruitment, orientation, and maintenance of the Company’s governance documents as well as the Company’s corporate secretary function, including management of the Company’s delegations of authority, issuance of transactional and other certificates, and officer appointments.

  • We collaborate with individuals and executives throughout the company to support our external reporting, corporate governance, investor relations, and corporate communications functions and to help ensure that we are following applicable legal and regulatory requirements.

  • Other responsibilities of our team include providing legal advice on applicable legal and regulatory developments, equity security issuances and related disclosure documents, applicable listing requirements, and other financial disclosure and securities law related matters.

  • We also are responsible for the Company’s benefits and compensation functions, including providing legal advice to the Board, management and fiduciary committees concerning employee benefits and executive compensation matters, plus related guidelines, initiatives, regulatory requirements, corporate restructurings and associated workforce changes.

Your Impact:

In this role, you will have the opportunity to serve as a key member of the Governance, Disclosure and Benefits team. Your responsibilities may include:

  • Working with business areas to help them timely provide accurate and informative meeting materials, with respect to assigned committee meetings

  • Managing planners and agendas for assigned committee(s)

  • Supporting logistical and administrative aspects of meetings for assigned committee(s)

  • Drafting documents, meeting minutes and resolutions, for attorney review

  • Drafting portions of public company disclosure documents, for attorney review

  • Assembling and distributing meeting materials through Diligent

  • Providing support for Board and committee meetings

  • Researching current and emerging best practices in corporate governance and public disclosure as well as ongoing legal developments in employee benefits and compensation, and making recommendations

  • Providing operational support for corporate governance functions

  • Responding to requests for corporate governance documents from internal auditors and external regulators

  • Performing legal research on executive compensation, employee benefits and benefits taxation matters, drafting such documents for attorney review, and managing recordkeeping of associated legal documents

  • Preparing Forms 3, 4 and 5 and Section 16 filings for attorney review and filing with the SEC

  • Managing Board and governance-related records

  • Preparing and reviewing department policies and procedures

  • Serving as back-up for other staff

  • Other duties as assigned

Qualifications:

  • Bachelor’s degree or equivalent combination of education and experience from which comparable knowledge and skills may be obtained, as well as a minimum five years of experience as a paralegal or analyst (or similar role) working on corporate governance matters in a public company. 

  • Strong analytical, problem solving and communication (written and oral) skills, and an ability to work with senior management, to handle highly confidential information and to manage multiple competing priorities is required.

  • Experience working on legal issues related to executive/employee compensation, stock compensation and employee benefits a plus.

  • Proficiency with MS Office Suite required.  Experience with Diligent or other board reporting portals and facility with Generative AI a plus. 

  • Willingness to work extra hours including evenings as needed in support of Board and Committee meetings and/or other related events.

    This position has an annualized market-based salary range of $95,000 - $143,000 and is eligible to participate in the annual incentive program. The final salary offered will generally fall within this range and is dependent on various factors including but not limited to the responsibilities of the position, experience, skill set, internal pay equity and other relevant qualifications of the applicant.
