Position Overview:

Autodesk, Inc. is looking for a talented attorney with well-rounded experience to be part of a dynamic commercial legal team responsible for providing legal advice and support to North America Sales. Your primary role will be partnering with the Renewals and Expansion Account Executives (Enterprise Sales) and deal teams to draft, review and negotiate complex commercial transactions, SaaS, PaaS and software agreements (including, but not limited to, global enterprise agreements involving various software and web-based delivery models). 

You will be required to quickly summarize legal issues into actionable advice for deal teams to execute on. You will participate in and lead template drafting and process improvement projects to create efficiencies and repeatable processes. This role requires extensive knowledge of legal language and best practices, as well as excellent communication skills.

This position is a hybrid position based in Vancouver or Toronto. You will report to the Senior Manager, Senior Corporate Counsel – Enterprise Sales & Procurement who is based in the San Francisco area. 

Responsibilities:

The successful candidate will have strong legal and business partner skills.  They will be a great communicator and a collaborative team player.   

The role includes broad responsibilities, and you will:

  • Review, negotiate and support North America Enterprise  Sales on global agreements, commercial transactions and related documentation
  • Advise on various legal matters such as intellectual property, liability, indemnification, AI/ML, data privacy and security issues
  • Negotiate and ensure compliance with company policies and applicable laws/regulations
  • Maintain an understanding of Autodesk policies, contract templates, legal risk tolerance and company position on multiple matters
  • Work closely and collaboratively with other teams supporting various aspects of Direct Sales
  • Able to balance legal strategy and tactical business needs
  • Be adept at working closely and collaboratively with other legal teams and subject matter experts including product, data, privacy, AI and compliance teams
  • Actively contribute to Legal department wide initiatives and programs
  • Not take yourself too seriously and have the ability to laugh with the team and enjoy the journey.

Minimum Qualifications:

  • JD from an accredited/recognized U.S. or Canadian university and bar membership in good standing in a U.S. state or Canadian Providence;
  • 6+ years of combined law firm and in-house experience with a global public company and/or experience working with large technology companies;
  • Extensive experience as the primary drafter and negotiator on a wide range of technology transactions;
  • Knowledge of complex corporate entity structures;
  • Good business acumen (finance or IT/business development experience a plus);
  • Attention to detail;
  • Knowledge and experience negotiating contracts involving complex IT agreements with very large industry players, intellectual property ownership concerns, SaaS, privacy laws, data security, and AI/ML;
  • Work independently, manage multiple deals and requests at once, effectively utilize collaboration tools including AI agents, ability to navigate effectively through ambiguity;
  • Collaborate well in cross-functional, global diverse teams dealing with matrixed issues and a track record of inclusive collaboration style;
  • Clear, concise written, oral and interpersonal communication skills; ability to interact comfortably and effectively with senior leaders;
  • Practical legal and business judgment as well as strong analytical and problem-resolution skills;
  • Think strategically and give sound advice appropriately weighing legal and business objectives;
  • Ability to build and maintain positive working relationships with Direct Sales, deal teams and other internal stakeholders; and
  • Ability to excel under pressure while dealing with shifting priorities and timelines.

Salary transparency

Salary is one part of Autodesk’s competitive compensation package. For Canada-BC based roles, we expect a starting base salary between $132,800 and $182,600. Offers are based on the candidate’s experience and geographic location, and may exceed this range. In addition to base salaries, our compensation package may include annual cash bonuses, commissions for sales roles, stock grants, and a comprehensive benefits package.
