The Role 

We’re hiring a Commercial Counsel, Public Sector to support Peregrine’s growing public sector business. This role will provide commercial counsel advice for Peregrine’s state and local government business, while helping to build the infrastructure for Peregrine’s growth in the U.S. federal government market, including the development of federal contracting frameworks and regulatory compliance.

This attorney will work closely with Peregrine’s Contracts and Sales/Go-to-market teams to support negotiation of public sector agreements, serve as the legal escalation point for complex or non-standard terms, and engage directly with agency counsel and procurement officials. Additionally, this role will help build and integrate scalable contracting infrastructure, including playbooks and contract lifecycle management systems to support business growth.

What You'll Do
  • Provide legal counsel for negotiation of state, local, and federal SaaS agreements, including order forms, master services agreements, end-user license agreements, data sharing agreements, and related contracting documentation
  • Serve as the initial legal escalation point for complex, high-risk, or non-standard public sector terms.
  • Engage directly with government counsel and procurement officials to resolve legal and regulatory issues.
  • Advise business teams on federal compliance obligations for business expansion to federal markets, including FAR-based frameworks.
  • Support review of RFP responses, solicitations, representations, certifications, and compliance materials.
  • Review and negotiate data sharing agreements involving government agencies and third parties.
  • Review and negotiate vendor and technology agreements supporting Peregrine’s operations.
  • Partner with Legal Operations and Contracts teams to build out CLM workflows, clause libraries, and commercial playbooks.
What We Look For
  • Juris Doctor (J.D.) degree and active admission to practice in the state in which the position is located, or eligibility to waive into that jurisdiction
  • 5+ years of experience in public sector and/or technology commercial contracting.
  • Significant experience with state and local government contracts.
  • Experience with U.S. federal procurement regulations and compliance principles (including familiarity with FAR and related frameworks).
  • Experience negotiating SaaS agreements at a high-growth technology company.
  • Strong understanding of public sector procurement and compliance obligations.
  • Experience working closely with contracts teams and/or deal desks in scaling environments.
  • Comfortable operating independently while maintaining strong cross-functional alignment.
  • Clear communicator with strong commercial judgment and low-ego collaboration style.

Salary Range: $165,000 - $205,000  Annually + Benefits + Equity (if applicable) + Bonus (if applicable)
