Associate General Counsel would be responsible for performing and managing assigned legal and compliance functions in support of the Company’s business operations.
Key Responsibilities:
Government Contracts Management, Compliance and Counseling
Primary attorney for Company’s U.S.-flag ocean and intermodal transportation contracts with U.S. Government
Company’s subject matter expert for government contract law matters
Provide legal advice and guidance in support of assigned business units and contract execution teams regarding interpretation and implementation of contract terms and applicable procurement law/regulations (e.g., Federal Acquisition Regulations)
Interface with government legal and acquisition personnel to resolve government contract issues
Coordinate with Company’s compliance team to identify, investigate and address government contract compliance issues
Coordinate with business units to identify and address government contract management issues.
Provide training to Company personnel on government contract matters
Manage, prosecute, and negotiate contract claims and requests for equitable adjustments, including use of outside counsel
Manage bid protests and use of outside counsel support
Participate in the development of acquisition strategies
Manage legal expenditures and evaluate outside counsel
Produce management reports
General Legal
Provide support to General Counsel as assigned
Act as Company’s subject matter expert on particular areas of the law as assigned
Draft and negotiate transactional documents
Conduct legal research and draft correspondence
Draft legal memoranda and other legal documents
Counsel business units and other personnel on legal matters as necessary
Supports commitment to safety and other selected company standards and certifications
Performs other position related duties as specified by management
Position Specifications:
Education and Experience
Bachelor’s Degree and Law Degree required (must be from accredited institution).
Bar admission.
Minimum of 10 years experience in government procurement and acquisition law.
Experience with DOD international ocean and intermodal transportation contracts is highly desired.
Experience in ethics/compliance, export control, and intellectual property is a plus.
Military experience a plus.
U.S. Citizenship and eligible for DOD security clearance

Strong interpersonal skills and the ability to interact effectively with individuals at all working levels
Good working knowledge of MS Office Products (Word, Excel, Power Point, Outlook) and the ability to quickly grasp and work with new systems.
