VP, Sr. Legal Counsel - M&A (Hybrid - Flexible Options)

The VP, Sr. Legal Counsel - M&A reports to the SVP, Associate General Counsel – Strategic and Corporate Transactions. The VP, Sr. Legal Counsel - M&A will play a key role in Broadridge’s M&A and Partnership transactions. This role will partner with the Corporate Development team while also working closely with senior leadership and business unit leaders. The position requires a motivated, collaborative team member with a strong ability to partner with different constituencies and a commitment to ensure excellence and consistency in legal advice across Broadridge.

Key Responsibilities:

  • Provide strong strategic and transactional legal advice to the Corporate Development team and senior business leaders across the organization on mergers, acquisitions, partnerships, joint ventures and strategic investments, including engagement in proactive issue-spotting, risk assessment and problem-solving
  • Draft and negotiate transaction documents, including drafting and negotiating purchase agreements, letters of intent, term sheets, joint venture agreements and related legal documentation
  • Coordinate closely with deal teams, clients, outside counsel and subject matter experts to align legal documents with business and legal goals – be the deal team quarterback!
  • Lead transaction legal due diligence
  • Assist in post-closing integration of acquired entities

Required Qualifications

  • J.D. degree and active license to practice law in at least one U.S. jurisdiction.
  • 5+ years in the Corporate Group (M&A preferred) in a large law firm, experience with complex deals
  • 3+ years in the Broadridge Legal department
  • Strong understanding of corporate legal department operations, legal technology, and budget management.
  • Demonstrated ability to lead cross-functional initiatives and drive change in a complex organization.
  • Business acumen and financial literacy.

Preferred Additional Qualifications

  • Background in financial services, fintech, Saas, or other highly regulated, client-facing industries
  • Excellent written and verbal communication and presentation skills; able to communicate complex issues clearly and credibly to diverse audiences
  • Strategic, analytical thinker with strong business acumen and hands-on problem-solving skills
  • Excellent leadership, interpersonal, organizational and relationship management skills
  • Ability to apply sound judgement while managing multiple assignments simultaneously in a demanding, fast-paced environment
  • Ability to work independently

Additional responsibilities for consideration:

  • Provide front‑line legal support to deal teams, senior management and compliance, risk and control partners, acting as a trusted advisor while proactively managing legal, regulatory, and reputational risk
  • Draft, review, and negotiate engagement letters and related side letters, and align terms with firm policy
  • Negotiate appropriate NDAs and joinders
  • Identify, evaluate, and manage conflicts of interest across mandates, including tree‑staffing and staple financing scenarios, working closely with stakeholders to design practical and appropriate mitigations
  • Support special situations such as pre-transaction structuring, shareholder activist defense, hostile takeovers, and SPAC‑related assignments
  • Monitor litigation risk and developments, coordinate strategy with outside counsel where authorized, support regulatory inquiries, and brief deal teams and management on impact and response options
  • Provide clear, timely escalations on high‑priority issues and deliver commercially grounded solutions that balance client objectives with regulatory expectations

Compensation Range: The salary range for this position is between $220,000 - $230,000.

Broadridge considers various factors when evaluating a candidate's final salary including, but not limited to, relevant experience, skills, and education.
