General Summary:

The VP of Executive Compensation is a highly critical member of the Leadership team with direct reporting relationship to the EVP of People and Communications. This position is accountable for setting and developing the strategic direction for the company’s global executive compensation programs by ensuring that the programs align with the organization’s business strategies and talent objectives. The position is also responsible for leading the executive compensation organization.

This role includes developing all materials on behalf of management for the Human Capital Committee meetings, provides insight and advice to the board compensation consultant and holds regular meetings with the Chair of the HCC. Additionally, the role is responsible for oversight on behalf of Unum Group for any International Executive Compensation items at the Remuneration Committee and regular attends board meetings.

Role is also a close partner to Investor relations and attends annual investor meetings, independent of the EVP.

Principal Duties and Responsibilities

  • Responsible for the overall design, competitive positioning, implementation, communication and administration of global executive compensation programs. Ensures that these programs are aligned with the company’s business strategies and talent objectives.
  • Work collaboratively within the Internal communications team and across business operations, to ensure that the executive compensation programs of the company are well understood and contribute effectively to the implementation of the company’s Total Rewards strategy.
  • Position executive total compensation practices and programs to attract and retain talent and support unique business areas, all with an understanding of market trends.
  • Advise CEO and EVP on any executive compensation offer and meets to review all market analysis
  • Conducts annual executive compensation calibration meeting with CEO and EVP in readiness for board presentation of annual executive compensation changes
  • Partner with HR Compensation, Corporate Legal, Finance and the Human Capital Committee’s compensation consultant, to ensure that the multiple considerations related to executive compensation are factored into the design, development, implementation and administration of executive compensation programs. 
  • Partner with executive recruiters, talent management and executive management to model and develop competitive offer packages for EVP- and SVP-level external hires and internal promotions.
  • Responsible for the orientation and education of new executives and Human Capital committee members on the Company’s executive compensation strategies and programs
  • Acts as a liaison to the Human Capital Committee (HCC) of the Board of Directors.  Partners with CEO, EVP People and Communications, and Human Capital Committee Chair on agenda for HCC meetings.  Responsible for project management of all materials presented to the Human Capital Committee.
  • Prepares and presents materials to the Human Capital Committee including competitive data analysis, plan design alternatives, officer compensation, and equity compensation plans.
  • Collaborate with the Finance, Legal and Corporate Communication teams in the development of the company’s annual proxy statement and other public filings. Leads the development of the Compensation Discussion & Analysis Section of the proxy statement.
  • Monitor equity usage including burn rate, overhang, and other dilution analysis. Provide expertise on equity program design, including performance share design, and partner with accounting/finance on forecasts of equity compensation expense.
  • Manages the compensation program of the Board of Directors, including working with payroll and developing and delivering communications directly for board members.
  • Frequently develops materials to assist EVP and CEO on executive compensation strategy
  • Collaborate with Corporate Communications, Legal and Investor Relations in shareholder outreach efforts with respect to executive compensation programs.
  • Strong partner with CFO and finance organization, often collaborating on compensation strategy
  • Partners with HR Compensation and Talent Management teams in planning and executing year-end compensation and performance planning process for senior executives.
  • Responsible for the administration of inactive deferred compensation programs.
  • Provides leadership, guidance and direction to the executive compensation team.
  • May perform other duties as assigned

Job Specifications

  • Bachelor’s degree in Business, Accounting or related field; MBA preferred
  • Certified Public Accountant strongly preferred; Certified Equity Professional or Certified Compensation Professional desirable
  • 15 years or more of business experience with progressive increases in management responsibilities. 
  • Minimum of 7 years of direct experience in managing and implementing executive compensation programs for large employers.
  • Strong understanding of equity based compensation vehicles with regard to tax,  accounting and market trends
  • Strong knowledge of SEC executive compensation disclosure regulations
  • Ability to see the big picture while effectively managing details
  • Strong problem solving/analytical skills
  • Strong project management skills
  • Ability to interface with executive-level management and Board members
  • Strong verbal and written skills
  • Strong organization and follow-through skills

The base salary range for applicants for this position is listed below. Unless actual salary is indicated above in the job description, actual pay will be based on skill, geographical location and experience.

$184,100.00-$348,000.00

Additionally, Unum offers a portfolio of benefits and rewards that are competitive and comprehensive including healthcare benefits (health, vision, dental), insurance benefits (short & long-term disability), performance-based incentive plans, paid time off, and a 401(k) retirement plan with an employer match up to 5% and an additional 4.5% contribution whether you contribute to the plan or not.  All benefits are subject to the terms and conditions of individual Plans.
