Job Description
The Vice President will be part of the team responsible for originating and executing M&A activity for BIG’s equity strategies, the “Investments” team.
Relevant responsibilities will primarily be securing debt financing to support M&A activity including (i) providing structuring guidance (RFPs, term sheets, debt documentation, credit rating analysis etc.), (ii) running processes to secure committed financing, (iii) managing syndication processes (including working with investment banks, law firms, lenders and prospective investors), and (iv) proactively working with various internal teams to analyze / optimize the capital structure for both potential acquisitions and existing investments. In summary, the Vice President will be integral in all aspects of deal structuring, deal execution, lender / investor relationship management, as well as various ad hoc projects.
Reporting
Sit on the investment team and report to Managing Director, Investments (based in Toronto) and work closely with the infrastructure investment team
Responsibilities
Will be a key member of the acquisition financing team responsible for sourcing and structuring debt financing to support Brookfield’s global infrastructure investment initiatives
Work alongside deal teams to analyze, select and implement the optimal capital structure for new investments
Assist in the management of all aspects of structuring, negotiating, syndicating and documenting a new financing (including assessing reasonability of proposals, and providing recommendations to senior management)
Manage the syndication process, produce credit rating materials, syndication/sales force materials, and draft internal credit documentation
Work with and maintain positive relationships with banks and other financial institutions, credit rating agencies, investors, lawyers, and other external advisors
Expected to be an internal expert and resource regarding broad bank / debt capital market conditions, market developments relevant to our business etc.
Design tailored risk management strategies (including FX and interest rate exposure) for new acquisitions and portfolio companies in conjunction with treasury team
Identify opportunities to optimize capital structures and add value through financing initiatives
Interface with the broader BIG capital markets and treasury team (and Brookfield capital markets leaders) regarding capital markets strategies, banking relationships, hedging etc.
Skills and Experience Requirements:
Role Specific:
7-10 years of experience predominately in investment banking (debt advisory or capital markets preferred but not required), private credit, direct lending, or similar role
Direct experience in origination, structuring and execution of debt transactions in the infrastructure sector
Experience in managing financing and syndication processes
General:
Ability to work in a dynamic, global team and adapt quickly to changing priorities
Analytic and strategic thinker with the ability to assess complex situations and make effective recommendations
Excellent organizational skills and ability to manage priorities and meet timelines
Proactive self-starter who can handle pressure effectively and has experience working with senior management teams
Strong interpersonal and communication skills (oral and written) with a strength in dealing with a wide variety of individuals at various levels within and outside of the organization

Our compensation structure is comprised of a base salary and a short-term incentive program (cash bonus). Cash compensation tends to vary based on geography to account for local market conditions and is set to be market competitive. Compensation decisions are based on a number of factors including relative experience, overall years of experience, industry experience, education and designations.
