TAS Senior Associate - Conflict

The purpose of the TAS India Conflicts Senior Analyst position is to identify and analyze potential conflicts of interest, summarize the facts of the transaction and related conflicts including the parties and services involved, determine the proper protocol under current TAS and firm policy, and obtain proper approvals from TAS, TAX, and National Consulting QRM leaders. The India Conflicts Senior Analyst will also draft conflict waiver letters and engagement letter modifications based on the specific facts of the conflicts and applicable protocol. The person will contact TAS teams when necessary to ensure accurate target and target ownership information and will contact the TAS India Conflicts Manager and/or the TAS Conflicts Director and Conflicts Manager in the US when new conflict situations arise to ensure we are following proper protocol. The India Conflicts Senior Analyst will report directly to the India Conflicts Manager for regular supervision and various other administrative matters.  

  • Analyze conflict check results and identify potential conflicts and prepare proper conflict protocol including waiver letter and engagement letter modification.
    • For potential conflicts identified, interpret the results of the conflict check based on all facts as presented (compiled by both the TAS team and the CLEAR/COI (Conflict of Interest) Report findings and review of other systems and resources available). 
    • Acquire a full understanding of the transaction and all parties involved including target, target ownership names and ownership percentages, client and all services RSM has provided to the counterparties (target and owners) over past 3 years.  Generate billing reports and other supporting documentation for each of these services identified for the target and target ownership. Include documentation within CLEAR/COI system related to any findings / research and/or other information.
    • Prepare a summary of the conflicts identified, the applicable protocol, the required engagement letter modification, and the conflict waiver letter (when applicable) and send to TAS engagement team for review of facts.  Include any additional questions or other action items for the engagement team to complete as applicable.
    • Upon TAS engagement team approval, distribute to all applicable approvers in accordance with protocol, (including TAS QRM Conflict Leader, National Tax QRM Conflict Leader and National Consulting QRM, ). Monitor responses and follow up with and/or address any questions/modification requests from approvers.
    • Once all approvals received and edits made by the approvers are updated in the conflict waiver letter and engagement letter modification, forward results to CPC team in order for them to process engagement letter and conflict waiver letter, if applicable.
  • Assist and support CLEAR/COI Search team if questions arise regarding the Target/Target ownership names provided in the TAS Conflict check request in their conflict searches.
  • Other administrative duties including required CPE, updating/developing internal resources, and others as they arise
