Job Description:

Arrow Electronics (www.arrow.com) has an excellent opportunity for a Legal Counsel to provide high impact legal support across complex commercial and transactional matters in a fast paced, performance driven, customer focused environment. This role serves as a trusted legal advisor to the business, delivering pragmatic, business aligned solutions while managing risk and supporting growth objectives. The successful candidate is an experienced, positive, and pragmatic legal professional with strong drafting, negotiation, and communication skills, high ethical standards, and strong business acumen. This individual will independently lead complex domestic and cross border commercial transactions, including supplier, customer, distributor, aerospace, defense and related agreements. Reporting to the Legal Counsel Director, this role may interact directly with company presidents and vice presidents and serves as a resource within the legal team.

Transactional & Contract Support

  • Advise on complex commercial and transactional matters, including domestic and cross border agreements.

  • Participate in transactions from start to finish, ensuring the company’s interests are protected and that agreements balance reasonable risk with business growth objectives.

  • Independently review, draft, analyze, and negotiate a wide range of agreements, amendments, templates, and order level terms, including:

  • Customer, supplier, reseller, distribution, credit, finance, and other commercial agreements

  • Aerospace, defense, and military contracts

  • Review standard and non standard agreements, amendments, and general correspondence with external customers and counterparties.

  • Provide clear, concise, and practical legal advice on short notice, supporting medium to complex sales, business, and corporate transactions.

Risk Management & Business Partnership

  • Identify, assess, escalate, and help mitigate legal and regulatory risks associated with commercial transactions and business activities.

  • Translate business objectives, compliance requirements, and operational needs into balanced and enforceable contract terms.

  • Partner closely with internal stakeholders, including sales, finance, quality, trade compliance, and management, to deliver timely, actionable legal guidance.

  • Proactively manage internal client expectations while efficiently delivering high‑quality work product under tight deadlines.

Process Improvement & Legal Operations

  • Develop, implement, and continuously improve contract templates, negotiation playbooks, approval frameworks, and escalation protocols.

  • Leverage legal operations tools and processes to enhance contract lifecycle management, improve accuracy and consistency, reduce cycle times, and strengthen reporting and analytics.

  • Apply best practices and knowledge of internal and external business issues to improve legal processes and business outcomes.

Leadership & Mentorship

  • Act as a resource and subject matter expert for colleagues with less experience.

  • Provide training, guidance, and mentorship to Legal Counsel, Staff Attorneys, and Legal Shared Services Specialists on transactional best practices, negotiation strategies, and risk management.

  • May lead project teams and formally train junior staff, supporting the development of a high‑performing, business‑aligned legal team.

What We Are Looking For:

  • Minimum five (5) to seven (7) years of relevant contracts experience.    

  • Juris Doctor required.

  • Experience in components distribution, both supplier and customer facing, preferred.

  • Experience in complex military and commercial contracts and proposals preferred.

  • Proven ability to drive business forward and achieve results, while managing risk and protecting the company.

  • Demonstrated eagerness and ability to learn industry, business, and operational matters quickly.

  • Able to effectively manage tight timelines and balance competing priorities.

  • Exceptional communication skills.

  • Team player with highly developed interpersonal skills.

  • Acute attention to detail and ability to multi-task in an evolving corporate culture. 

Work Arrangement:

Hybrid: Tuesday, Wednesday, Thursday required office days for Panorama Office site; Monday, Friday-work from home.

Annual Hiring Range/Hourly Rate:

$102,900.00 - $175,450.00

Actual compensation offer to candidate may vary from posted hiring range based upon geographic location, work experience, education, and/or skill level. The pay ratio between base pay and target incentive (if applicable) will be finalized at offer.
