Job Description

State Street Bank International Corporate Secretary and Governance, Vice President, responsibilities include:

  • Maintains full oversight and system of records of all board-related legal documentation 
  • Maintains Corporate Secretary documentation 
  • Keeps oversight of the controls owned by Corporate Secretary, including establishing proper documentation and control execution monitoring; acts as control owner where appropriate
  • Owns Policy Management framework and governance owned by Corporate Secretary
  • Partners with Legal on the Board related requests, and ensuring compliance of SSBI Boards with State Street’s internal governance standards as well as regulatory / legal board governance requirements (e.g. German corporate law, German Banking Act, new governance related guidelines issued by ECB, EBA, BaFin), i.e. through performing required gap analysis
  • Coordinates and executes the Corporate Secretary processes related with signature/authorization processes and related documentation (powers of attorney, signing authorities), the KYC requests for the legal entity and conflicts of interest
  • Supports the Board governance in partnership with the Head of SSBI Corporate Secretary
  • Drafts, edits, and finalizes meeting minutes for the Supervisory Board and its Committees and Management Board
  • Coordinate Governance related Audits; leads selected governance related projects or transformational initiatives

Education & Preferred Qualifications

  • 10+ years of relevant practical experience, i.e. Corporate Secretary, Legal, Compliance, Risk, ideally with a financial services company operating in a regulated environment.
  • In-depth knowledge of financial services industry, and related regulatory and corporate law governance requirements are desirable
  • Several years of exposure to C-Level Senior Management
  • Proficiency in MS Word, MS Excel, MS Power Point and MS Outlook
  • Business fluency in English is required

Minimum Salary:

zł282,000 Annual

The minimum salary quoted above applies to the role in the primary location specified. If the candidate ultimately works outside of this primary location, the applicable minimum salary may differ.​

Salary will be determined based on factors such as the position, type of work performed, individual skills, job description, working hours, diligence, initiative, self-management, length of employment, availability, and the quantity and quality of work delivered, as well as other objective and non-discriminatory criteria relevant to State Street employees.​

In addition to salary, employees are eligible to be considered for discretionary annual performance-based awards.​
