Position Overview

As a valuable member of the Legal, Compliance and Privacy Team, the Sr. Contracts Analyst will support the review and negotiation of complex commercial contracts, assigned, in addition to analytical and procedural support to internal and external customers, including international parties. This role is key to managing contracts in alignment with business strategies and goals. The ability to multi-task and pay strong attention to detail in a high-volume, fast-paced environment is essential in this position. 

Essential Duties

Include, but are not limited to, the following:

  • Collaborate with legal and business teams to draft, review and negotiate a variety of standard and complex commercial agreements (including but not limited to non-disclosure agreements (NDAs), statements of work (SOWs), master services agreements (MSAs), and clinical trial agreements (CTAs)) with external third parties.
  • Present and explain complex contract terms and conditions to business teams and external third parties, as required.
  • Act as a knowledge resource to the functional business teams regarding current contracting policies and processes.
  • Manage projects and workload with minimal direction to meet internal guidelines and deadlines.
  • Interpret complex contracts and interface with internal stakeholders as well as external third parties, including international entities, on contract issues.
  • Partner closely with Sourcing, Category Management, and Legal Compliance and Privacy to ensure proper contracting escalation throughout review process and obtain all other required internal reviews and approvals for contract terms and provisions.
  • Collaborate with internal due diligence partners on internal contract reviews as needed and partner with them on process improvements as applicable.
  • Assist in efforts to improve current processes and effectiveness of the operational contracting team.

  • Ability to lift up to 10 pounds for approximately 5% of a typical working day.
  • Ability to work on a mobile device, tablet, or in front of a computer screen and/or perform typing for approximately 90% of a typical working day.
  • Ability to work on-site at our Warsaw, Poland office a minimum of three (3) days per week. The remaining days may be worked remotely, subject to team needs and manager approval. Specific on-site days may be designated based on team collaboration schedules or business priorities.
  • Ability to travel 5% of working time away from work location, may include overnight/weekend travel.

Minimum Qualifications

  • Bachelor’s Degree in Business, Legal Studies or a field as outlined in the essential duties, or an Associate's Degree with at least 5 years of experience in drafting, reviewing and negotiating contracts in English.
  • 5+ years partnering with legal, compliance, and privacy teams to negotiate contracts in English.
  • Strong written and verbal communication skills in English.
  • Proficient in Microsoft Office, Internet navigation, Email usage, and word processing.
  • Demonstrated ability to perform the Essential Duties of the position with or without accommodation.

Preferred Qualifications

  • 7+ years of experience in drafting, reviewing, and negotiating complex contract terms with clients in the pharmaceutical/biotech industry.
  • Ability to negotiate complex contracts in one or more of the following languages German, French, Italian, Spanish.
  • Knowledge of Coupa CLM System or similar CLM system.
