Senior Legal Counsel - European Mortgage, SRT

We are seeking a highly experienced Senior Legal Counsel to support our Dublin based insurance operations with a focus on European significant risk transfer (SRT) transactions with financial institutions. The role carries substantial responsibility and ownership in providing transactional support to both Dublin and Bermuda based mortgage underwriting teams and will be instrumental in advising on complex cross-jurisdictional legal and regulatory matters, structuring innovative risk transfer solutions, and ensuring compliance with applicable laws across multiple jurisdictions.

The role will operate with a high degree of autonomy, providing primary legal leadership to both Dublin and Bermuda underwriting teams and ensuring robust governance, compliance, and high‑quality execution of transactions and strategic initiatives.

Key Responsibilities:

  • Legal Advisory & Transaction Support
    • Lead the legal support on the negotiation, and execution of SRT transactions, acting as the primary legal owner from structuring through closing
    • Draft and/or review transaction documentation including, term sheets, insurance policies, financial guarantees, reinsurance agreements, and ancillary documentation.
    • Provide senior level guidance on contractual interpretation, legal risks and regulatory impacts, offering strategic solutions to the business.
    • Legal transaction management and ownership of closing of SRT transactions, including internal governance and approvals and liaising with external counsel.
    • Provide strategic legal support on development of new products to support credit protection of new asset classes.
    • Provide legal support on other projects and initiatives as required,
    • Manage legal advice and support in closing multiple transactions and competing business priorities to tight timeline, ensuring high quality legal outcomes with minimal supervision.
  • Regulatory Compliance
    • Monitor and interpret European regulatory developments relevant to SRT, including Securitisation Regulations, CRR, Solvency II, Basel rules.
    • Proactively engage with business and legal leadership on Regulatory Changes relevant to SRT business.
    • Ensure compliance with insurance regulations in key jurisdictions (e.g., Ireland, EU, UK) and with internal group operating guidelines.
    • Ensure compliance with Arch group and entity level governance and applicable regulatory requirements.
  • Stakeholder Engagement
    • Liaise with internal stakeholders, external counsel, cedents, and (re)insurers to facilitate transaction execution.
    • Collaborate with internal teams within the Group including, risk, finance, and compliance.

Qualifications & Experience:

  • Qualified solicitor in a relevant jurisdiction (e.g., Ireland, UK, EU).
  • 10+ years post-qualification experience, ideally within private practice in a leading law firm or inhouse in banking, financial services or (re)insurance.
  • Working knowledge of EU insurance regulatory framework and /or EU Securitisation Regulations
  • Significant experience in capital markets, securitisation structures, SPVs, including synthetic securitisations and capital relief transactions.
  • Experience with cross-border transactions and multi-jurisdictional legal issues.
  • Excellent communication and interpersonal skills to collaborate effectively with senior business leaders, lawyers, administrative staff, external regulators and insurance industry contacts.

Desirable Attributes:

  • Experience working in-house within a (re)insurer or financial institution.
  • Deep knowledge of debt capital markets and structured finance instruments.
  • Ability to work independently and manage multiple transactions simultaneously, in a fast-paced environment.
  • Strong commercial judgement and a proactive, solution-driven approach.
