ABOUT THE ROLE
We are looking for a Legal Counsel, located in Sydney, with significant experience in the renewable energy industry in Australia, mainly in transmission line projects but also in generation and storage projects, where he/she will act always in the sponsor/equity role, providing legal support in all aspects such as structuring and partnering, financing, bidding process, all related contracts and claims management.
The candidate will join Ferrovial Energy’s Legal Department in Australia, reporting to the Head of Legal – International.
KEY RESPONSIBILITIES
- Comprehensive legal support throughout the lifecycle of projects from inception through operation, including drafting and negotiating a variety of renewable energy project related contracts, such as:
Consortium agreements, MOU with SPV members, Joint Venture or Shareholders Agreement between such members; indemnities, PCGs and any bid documents from an equity perspective.
Analysis and advice on RFP and Project documentation (including the Project Deed, the Design and Construction Deed or EPC, interface agreements and other legal/commercial documents)
Development contracts, Interconnection Agreements, subcontractor and supplier agreements, operation and maintenance agreements, power purchase agreements (PPA), leases, and more.
Management of claims and disputes.
- Provide legal support to the business team for the day-to-day management of our pipeline and portfolio.
- Legal advice on legislative and regulatory frameworks relevant to the projects including ringfencing aspects, as well as ensuring compliance with internal policies.
- The production of legal analysis report focusing on the description of the project and key risks, or assessment of any legal report prepared by external legal advisor, which is to be part of internal approval process in Ferrovial. General corporate housekeeping, such as preparing simple resolutions, filings, etc.
- Manage relationship with external advisers.
- Regularly reporting to Head of Legal based in Madrid.
QUALIFICATIONS
Education and Required Experience:
LLB /Juris Doctorate.
NSW Practicing certificate in good standing .
5+ years of experience in the renewable and/or conventional energy industry in a top tier law firm and/or in the legal department of a leading renewable energy company, infrastructure developer, financial advisor or asset manager with experience in large, complex infrastructure projects.
The ideal candidate will also have experience in:
Energy Law
Bidding on the equity/ sponsor side on transmission lines/generation and storage.
Offtake arrangements, PPAs, retail supply contracts and interconnection agreements.
Experience in engaging with the Australian Energy Market Operator (AEMO), the Australian Energy Regulator (AER), Transgrid and Energy Corporation of NSW (EnergyCo).
Debt Project financing.
Experience in construction contracts learins and real estate or right of way matters.
Professional Qualities:
Effectively manage tasks and deadlines independently.
Ability to interact with colleagues in a self-managed team structure.
Excellent interpersonal communication, decision-making, project management and negotiating skills.
Computer proficiency in Word, Outlook, Excel, and Power Point. IA ability will be a plus.
