What’s the role
To provide specialist antitrust advice to all Shell Businesses and Functions (as part of Shell’s global antitrust team) on a wide range of antitrust issues in the US and wider Americas region, including merger control filings, conduct of antitrust investigations and antitrust compliance advice. In this role you will work closely with a broad and diverse range of (internal and external) stakeholders at all levels of the organization in embedding a culture of compliance with antitrust laws through providing strategic advice and judgments on antitrust risks and managing complex antitrust investigations and deals.
You will be the focal point for antitrust issues in the Americas region and a core element of the role will be managing antitrust risks associated with Shell’s M&A activity in the region. You will be part of a global team of specialist antitrust lawyers that sits within the Corporate, Litigation and Regulatory Legal function
Accountabilities:
Responsible for providing specialist antitrust advice to Shell Businesses and Functions on a wide range of issues, including merger control filings, conduct of antitrust investigations, behavioral advice and antitrust compliance advice.
Manages a diverse and complex portfolio of matters; acts as the lead antitrust lawyer on complex deals and investigations, collaborating with other antitrust, Legal and Business colleagues as required.
Collaborates with senior management and leadership teams across multiple business and organizational lines, including accountability for advising senior stakeholders.
Contributes to the upskilling and development of Business Legal Counsel through training and coaching on relevant antitrust topics and the development of appropriate antitrust guidance and precedents.
Represents Shell externally vis-à-vis third parties, including engagements with regulatory agencies, other stakeholders and representing Shell in external legal fora.
Contributes to the broader Shell Group business, reputational and stakeholder agenda. Active in canvassing the external landscape for relevant insights and developments and contributing to the development of a Shell position on legal issues of importance
Delivery of bespoke Antitrust training to senior stakeholders and leadership teams
Responsible for engaging and managing external counsel and maintaining relationships with panel firms, with a focus on effective cost and budget management
Works with considerable professional autonomy and uses sound judgment to determine when issues must be escalated.
What you bring
Must have legal authorization to work in the U.S. on a full-time basis for anyone other than the current employer
Bachelor’s degree and a Juris Doctor (JD) required
Specialist knowledge and experience in antitrust laws (in particular antitrust merger control) is essential for this role
7+ years’ experience as a specialist antitrust lawyer
Deep knowledge of U.S. antitrust laws is required. Knowledge and experience in other international antitrust jurisdictions (in particular Canada, Brazil, Argentina, and Mexico) is desirable
Proven track record of providing antitrust advice on complex M&A deals and managing associated merger filings is essential, with a particular focus on HSR filings and related experience
Strong presentation and stakeholder management skills, with experience working with senior stakeholders
What we offer
The base salary range for this position is $214,000.00 - $320,000.00 per year. Individual pay will be based on various factors, such as relevant work experience, education, certifications, skill level, seniority, and internal equity.
For regular full-time or regular part-time employees of the Company (participating companies as listed in the Summary Plan Description), insurance coverage options include medical, dental, vision coverage, life Insurance, Business Travel Accident Insurance, and Occupational Accidental Death Benefit programs. Employees also participate in a company pension plan and a 401(k) plan. Paid leave includes up to 6 weeks of paid vacation time, up to 11 paid holidays, and parental leave offering 16 weeks of paid leave for birthing parents, and 8 weeks of paid leave for non-birthing parents.
Additionally, employees are eligible for short-term disability leave for up to 26 weeks at 100% or 50% of base pay as well as Long-Term Disability insurance. Shell also offers other compensation such financial reimbursement for adoption, wellness, education, and personal learning expenses, and some roles are eligible for discretionary long-term incentives. For interns, eligible benefits include medical, dental, and vision coverage, life insurance, Business Travel Accident Insurance, and Occupational Accidental Death Benefit programs; participation in a 401(k) plan; and paid leave for up to 11 paid holidays.
