HYBRID WORK POLICY

Eversource supports work-life balance by offering hybrid schedules for certain roles. Eligibility is based on job responsibilities, operational needs, nature of work and team dynamics. Current guidelines require employees to work at least three days in the office, including Tuesdays and Wednesdays, with the third day set by the employee and supervisor based on department needs. These guidelines apply to roles approved for remote work and are subject to change,  based on managerial discretion and work performance. All applicants must be able to work up to five days in the office if needed (for example: emergencies, training, or other business needs) or should the policy change.

Eversource has an opening for an attorney with 5+ years of corporate and securities law experience, including substantial hands-on experience advising public companies on SEC reporting and disclosure obligations.  The ideal candidate is a detail-oriented, business-minded attorney who thrives in a collaborative environment and is comfortable advising senior leadership on complex disclosure and governance matters. The successful candidate will:

  • Lead or play a key role in drafting and advising on filings with the Securities and Exchange Commission, including ’34 Act periodic reports on Forms 10-K, 10-Q and 8‑K, ’33 Act registration statements on Forms S-3 and S-8, proxy statements, and Section 16 filings, and ensuring compliance with SEC and NYSE rules and regulations.
  • Support and enhance disclosure controls and procedures and coordinate cross-functional disclosure processes.
  • Advise senior management and regularly interact with executive leadership on disclosure and governance matters, including coordinating the review of earnings and other press releases, presentations, significant internal communications and other announcements.
  • Advise the Treasury department on capital markets transactions, including underwritten debt and equity offerings, private placements, credit facilities, loan agreements, pension management and other Treasury matters.
  • Advise on and manage the preparation of Section 16 and Rule 144 filings and advise directors and executive officers on insider trading policy and Rule 10b5-1 plans as required.
  • Advise on and support general corporate and commercial matters, including reviewing and negotiating contracts, supporting business transactions, including mergers and acquisitions, asset and stock purchases, and joint venture arrangements. 
  • Provide support on matters relating to the board of directors and senior management, including with respect to the annual meeting of stockholders, corporate governance matters and legal entity management.
  • Provide legal counsel on a diverse range of matters related to day-to-day operations of the Company, including investor relations, finance, treasury, internal audit and compliance efforts, including the development and ongoing review of policies and procedures and the implementation of training initiatives.

The following experience is helpful but not necessary:

  • Commercial transactional contract negotiation.
  • Executive compensation matters, including incentive plans and programs, equity administration and related public company disclosure considerations including CD&A and say-on-pay disclosure.
  • ESG and sustainability reporting, including climate-related disclosures.

Technical Knowledge/Skill/Education/Licenses/Certifications:

Technical Knowledge/Skill: 

  • Requires significant proficiency in at least one substantive area of the law 
  • Ability to use PC desktop applications (e.g., Microsoft Word, Excel, Email)
  • Requires complex organizational and analytical skills
  • Must be a good team player, well organized, and able to identify business-oriented solutions to complex legal problems.

Education:     

  • Requires a bachelor’s degree and Juris Doctor Degree               

Experience:        

  • Minimum of five (5) years in a law firm or corporate law department            

Licenses & Certifications:  

  • Admission in good standing to the Massachusetts; Connecticut; and/or New Hampshire Bar and Federal Bars preferred
  • Candidates admitted to practice in another state and in good standing will be considered but will be required to gain admission to the appropriate state Bar within one year, required

Working Conditions:

  • Must be available to work emergency restoration assignment as required.
  • Must be available to travel between MA/CT/NH as necessary.
  • Work is performed primarily in an office environment with occasional time spent in field (right-of-way, take station, e.g.,) and in court or before administrative agencies, as necessary.

Mental Aspects:

  • Work includes periodic involvement in time-sensitive projects having a potentially significant impact on Eversource success.  Often involved in adversarial/confrontational situations. 
  • This role works in an environment that often requires the performance of multiple simultaneous activities, where deadlines need to be met and work is performed under pressure while involving significant business commitments and results.

$176,930.00-$196,590.00
