Summary

We are seeking a highly skilled Senior Paralegal with deep experience supporting a publicly traded company in securities filings, corporate governance, and compliance matters. The ideal candidate will have hands on experience preparing and filing Exchange Act reports (10 K, 10 Q, 8 K), managing Section 16 filings, supporting annual proxy preparation, and coordinating key governance processes for a growing, innovation focused Nasdaq listed company.  This role is critical to ensuring the company meets its SEC, Nasdaq, and internal corporate governance obligations with accuracy, efficiency, and professionalism.

Job Responsibilities

SEC & Nasdaq Filings

  • Assist in drafting, reviewing, and filing periodic and current reports, including: Form 10 K, 10 Q, 8 K, S 8, Section 302/906 certifications, and other required filings.
  • Prepare and file Section 16 reports (Forms 3, 4, and 5) for officers and directors.
  • Maintain and manage EDGAR filings, proofs, and submission workflows.
  • Coordinate with finance, human resources, and investor relations to gather disclosure data.
  • Ensure compliance with Nasdaq listing standards, including corporate governance requirements and announcements.

Corporate Governance

  • Assist in preparing board and committee materials, resolutions, and minutes.
  • Maintain corporate records, subsidiaries, entity charts, and governance databases.
  • Support the annual shareholder meeting and proxy statement preparation.
  • Maintain insider trading policy compliance records and pre clearance logs.

Equity Administration & Insider Compliance

  • Support equity plan administration, including coordinating equity grants, tracking vesting, and maintaining cap tables in partnership with HR/Finance.
  • Maintain accurate beneficial ownership and insider lists.
  • Coordinate blackout periods and distribute required notices to insiders.

Transactional & General Corporate Support

  • Provide paralegal support for financings, credit agreements, M&A, and other corporate transactions.
  • Assist with due diligence gathering, data room management, and document organization.
  • Draft and manage corporate forms, officer certificates, and routine agreements.

Process Management & Cross Functional Support

  • Develop and enhance internal processes for disclosure controls and corporate governance.
  • Coordinate with external counsel, auditors, and regulatory bodies as needed.
  • Maintain high standards of accuracy, organization, and confidentiality.

Qualifications

  • Bachelor's degree from an accredited university or college (or a high school diploma / GED with at least 12 years of relevant experience).
  • 7+ years of experience supporting in-house corporate and/or M&A lawyers as a paralegal or similar, preferably with a publicly traded company or a top tier law firm supporting public companies.
  • Deep working knowledge of SEC rules, Exchange Act filings, EDGAR processes, and Nasdaq listing standards.
  • Strong drafting skills and experience reviewing regulatory filings and corporate documents.
  • Ability to manage sensitive information and interact professionally with senior executives and board members.
  • Exceptional attention to detail, judgment, and organizational skills.
  • Proficiency in Workiva, Diligent, EDGAR systems, and Microsoft Office.

Desired Characteristics

  • ABA approved paralegal certificate
  • Experience with equity administration software (e.g., Carta, E*TRADE/ Morgan Stanley Shareworks).
  • Experience with corporate governance for multinational subsidiary structures.
  • Strong “ownership” mindset and ability to work independently.
  • Excellent written and verbal communication skills.
  • Ability to manage multiple priorities under tight deadlines.
  • High integrity and commitment to ethical conduct and compliance.
