Paralegal, General Corporate and Finance

PURPOSE OF THE POSITION

The Paralegal, General Corporate and Finance will support the Senior Director – Senior Counsel, General Corporate and Finance and other members of the Legal, Finance, and Treasury teams on a wide range of corporate, commercial, and finance matters and other strategic initiatives. This role is responsible for drafting and reviewing contracts, supporting complex financial transactions, and developing tools to support the company’s contracting processes and ongoing compliance with its credit and debt facilities. The role requires strong judgment, attention to detail, and the ability to efficiently manage and execute on complex legal matters.

RESPONSIBILITIES

• Draft, review, and negotiate a wide variety of commercial agreements, including professional services agreements, delivery and marketplace agreements, event agreements, payment processing agreements, and other contracts. Work directly with internal business teams to assess risk and ensure business objectives are met. Provide practical assessments and recommendations to in-house counsel on contract terms, risks, and compliance considerations.
• Assist in the execution of complex financial transactions and other strategic initiatives, including conducting due diligence, managing and responding to information and document requests, reviewing documents, and coordinating with internal stakeholders and external counsel.
• Support the Legal and Treasury teams in connection with the company’s credit and debt facilities, including tracking compliance requirements and obligations. Serve as a resource for business teams on all matters relating to the company’s credit and debt facilities.
• Create, maintain, and update reference guides, checklists, and other tools to support the company’s compliance with its credit and debt facilities and with other key agreements. Review, organize, and maintain electronic legal files and agreement records. Create, maintain, and update forms and templates for common contract types.
• Collaborate cross-functionally with Legal, Finance, Treasury, Commercial, and other relevant teams to ensure timely and accurate execution of deliverables.
• Conduct legal research and summarize findings for internal stakeholders.

EDUCATION QUALIFICATIONS

• Required Minimum: Bachelor’s degree.

EXPERIENCE QUALIFICATIONS

• Minimum of four (4) to six (6) years of experience as an in-house or law firm paralegal supporting transactional, commercial, and/or finance matters.

REQUIRED KNOWLEDGE, SKILLS, OR ABILITIES

• Strong experience drafting, reviewing, and negotiating contracts with a high level of accuracy and attention to detail.
• Well-versed in structured financing transactions, including whole business securitizations and other credit facilities, and supporting debt compliance.
• Excellent critical thinking and analytical skills, with the ability to quickly assess and address complex legal issues; solid organizational skills and ability to multi-task without missing deadlines.
• Strong commitment to excellence in client service (including good interpersonal skills).
• Strong written and verbal communication skills and computer literacy (especially with Word, Adobe Acrobat, and document management systems).
• Ability to work independently while effectively collaborating within a team of legal and non-legal professionals.
• High level of discretion and professionalism in handling sensitive and confidential information.

PREFERRED KNOWLEDGE, SKILLS, OR ABILITIES

• Experience in a multi-brand, multi-entity corporate environment, especially franchise businesses.
• Familiarity with transaction management platforms and contract lifecycle management platforms.
