OVERVIEW

CAA is seeking a Paralegal to join its Office of the Chief Legal Officer (OCLO) in London.The role will report jointly to the Lead Counsel – Corporate, Commercial and Compliance (International) and the Senior Legal Counsel - Employment (International) who are based in London. We are looking for a proactive, meticulously organised, very detail-orientated individual to help the highly busy legal executives manage the overall office for OCLO. This individual should be comfortable working with individuals in a variety of internal and external roles, and be able to handle a fast-paced, dynamic environment.

Law school graduates with an interest in corporate and employment law, or candidates with a paralegal certificate or paralegal background looking for exposure to corporate and employment law, are encouraged to apply. 

RESPONSIBILITIES TO INCLUDE (BUT ARE NOT LIMITED TO)

General

  • Work with the wider OCLO team, Business Affairs teams and internal corporate functions across the US, UK and other International offices to provide an efficient and high-quality service to internal and external stakeholders.

  • Communicate with stakeholders regarding highly confidential matters, agreements, transactions.

  • Gather facts, analyse and help determine whether conflicts of interest have arisen per company policy.

Administrative & Organisational Tasks

  • Organise, file and, where applicable, delete documents in accordance with data protection and legislative requirements.

  • Maintain spreadsheets, charts and summaries. Create and implement legal procedures and processes, as needed.

  • Track document progress and deadlines for projects, matters and contract renewals.

  • Manage outside counsel engagement letters and send documents to outside counsel for instruction.

  • Draft meeting notes and share with attendees.

  • Assist with the preparation and delivery of legal training and materials (including slides) and document creation and formatting.

Corporate Functions Support (HR, Tax, Finance, IT)

  • Prepare, organise and maintain corporate records, minutes and resolutions, and risk registers for CAA’s International entities. 

  • Assist with entity formations and closures. Draft and manage corporate and regulatory filings. 

  • Assist with employment status reviews and IR35 assessments, including the completion of internal questionnaires and HMRC CEST tool, liaising with business areas, and producing final form documents for issuing to contractors.

  • Liaise with Companies House, HMRC and auditors, where required. 

  • Participate in workplace investigations, as needed.

  • Coordinate with the internal teams to ensure accurate implementation of contractual terms.

  • Support compliance projects with Human Resources and the Compliance function, as needed.

Contract & Document Work

  • Draft, format, redline and edit highly confidential agreements and correspondence including corporate transactional documents, KYC information and employment contracts and settlement agreements.

  • Populate first drafts of template agreements, emails and questionnaires. Liaise with internal teams to obtain necessary information.

  • Manage execution processes (both virtual and wet-ink signatures) including the uploading to Adobe Sign, tracking signatures, collating and saving down final copies. Ensure accurate version control.

  • Organise and update hard copy and electronic files, ensuring relevant documents are quickly accessible. Upload documents to file management systems (e.g. OneDrive, iManage). 

  • Proofread new policies and template documents.

Policy & Compliance Support

  • Manage and track projects with international counsel, including new contracts and policies in multiple jurisdictions.

  • Amend the drafting of template contracts and documents in line with updates to legislation and internal policies and procedures.

Research / Advisory work

  • Carry out legal research and analysis across different jurisdictions.

  • Prepare briefing notes, FAQs, crib sheets, flowcharts and process notes for internal teams on recurring queries.

QUALIFICATIONS/REQUIREMENTS

  • Strong academic background. Law degree or equivalent qualification, or Paralegal/Legal Assistant qualification. Completion of the LPC or SQE1 is desirable. 

  • Minimum of 2-4 years of experience as a paralegal at a top law firm and/or in-house corporate level legal department would be beneficial.

  • Experience drafting and reviewing agreements, templates, correspondence and other documentation and supporting corporate transactions and employment processes. 

  • Solid knowledge of basic legal concepts such as the UK Companies Act and corporate filing requirements, contract law, administrative agencies, and arbitration. Knowledge of legal requirements in jurisdictions outside the UK is beneficial. 

  • A strong command of the Microsoft Office suite, in particular Outlook, Word (e.g., redlining), Excel, Power Point and Teams, as well as Acrobat Adobe Professional and Adobe Sign.

  • Proficient in legal filing systems. Experience of iManage will be beneficial.

  • Experience using legal databases, including PLC, desirable. 

  • High ethical standards and excellent professional judgement. Discreet and capable of handling confidential information. 

  • Excellent verbal and written communication skills, interpersonal skills and emotional intelligence.

  • Exceptionally detail oriented.

  • Excellent time-management skills and ability to determine prioritisation of short-term and long-term projects. Able to take direction and manage and “own” projects from beginning to end with a sense of follow through.

  • Ability to provide high-quality work product in a timely manner to meet demands of the organisation and to effectively and efficiently multi-task in a fast-paced environment.

  • Have a creative and proactive approach to solving problems. Solutions focused.

  • Collaborative and works in tandem with colleagues.
