Job Description:

Summary:

As part of the Division Legal the Legal Documentation team’s main focus is:

  • Drafting, reviewing and negotiating ISDA Master Agreements (“ISDAs”), Global Master Repurchase Agreements (“GMRAs”), Global Master Securities Lending Agreements (“GMSLAs”), cleared derivatives documentation and other related documentation

  • Liaising with the Bank's relevant business lines, credit risk management, collateral management unit, Treasury, Group Tax and other internal departments in order to find agreement in the banks requirements and policy - define and communicate the outstanding issues arising from the negotiations with the relevant business group, other shared services departments and counsel, in order to obtain resolution

Responsibilities:

  • Supporting DB Business in the covered jurisdictions in executing these master agreements and related documentation with focus on high complexity processes - requiring detailed interpretation and understanding of information provided as well as comprehensive knowledge to formulate required judgement calls

  • Drafting, reviewing and negotiating from start to finish ISDAs, GMRAs, GMLSAs, cleared derivatives documentation and other related documentation regarding derivative and securities financing transactions undertaken by the Deutsche Bank Group globally with counterparties from over 30 jurisdictions, mainly from the UK, US and the EMEA region, such as banks, corporate and funds, in compliance with the Bank's global standards

  • Managing a priority caseload of ISDAs, GMRAs, GMSLAs, related collateral agreements (e.g. CSAs, guarantees), cleared derivatives documentation and other related documentation

  • Taking responsibility for a range of issues relating to the legal and operational aspects of derivatives and securities financing products

  • Discussing relevant issues with internal and external stakeholders, including instruction of external counsel

  • Reviewing and assessing legal opinions with respect to the ability to enter into derivative and securities financing transactions, netting and other related elements specific to the documentation to be negotiated

  • Reviewing constitutional documentation and assessing the make-up, structure and control of the counterparty

  • Obtaining new approval for the application netting and reconfirming existing approval from the responsible internal approval group in relation to various master agreements, counterparty types and jurisdictions

  • Collaborating in projects

  • Leading detailed discussions & build relationships within defined function and communicate across all levels of the organisation

  • Dealing with critical issues and escalations

  • Providing cross-product support to other teams within Legal as necessary and assisting in special projects according to the needs of the business

  • Updating and monitoring documentation databases

  • Providing guidance and transfer of knowledge to new members within the team as well as outside the team

Requirements

Education and Experience:

  • Law degree (LL.B.; additional LL.M. would be an advantage) from the UK/Commonwealth or German-qualified lawyer (Volljurist/in) or Wirtschaftsjurist/in degree or equivalent qualification from other countries; full qualification would be an advantage

  • 1-3 years experience in either banking/finance preferred

Competencies:

  • Fluent in English (written and oral), additional language skills would be an advantage

  • Very good drafting and negotiation skills
