Salary range (but not limited to):

128,300 - 156,800

Annual bonus target, based on the base salary, with a potential payout of up to double the target (subject to personal and company performance):

Salary for the candidate will be determined taking into consideration a number of factors including: experience, skills, qualifications, anticipated contribution to role, internal equity, etc. The salary range presented above is based on a 35-hour workweek and would represent a majority of different candidate profiles. However, we encourage candidates who may fall outside of this range to apply as well.

Intact Investment Management Inc. is a wholly owned subsidiary of Intact Financial Corporation and registered portfolio manager in Canada. Based in Montreal and Saint-Hyacinthe, our growing team of multidisciplinary experts manage over $30 billion in assets for institutional investors, including the assets and pension funds of Intact Financial Corporation and its subsidiaries.

About the role:

Under the supervision of the Chief Compliance Officer & Director of Governance, the Manager, Regulatory Compliance & Governance is responsible for designing, implementing, and overseeing the firm’s regulatory compliance program and governance framework for the activities of Intact Investment Management Inc, a Canadian-registered Portfolio Manager (PM) with global trading and investment activities. This role ensures effective controls, monitoring, and reporting aligned with applicable laws and regulations, client obligations, and industry best practices. The manager partners with Legal, Risk Management, Investment Management, Trading, Investment Operations, and Information Technology teams, among others, to maintain a strong control environment, drive policy consistency, and support strategic initiatives and regulatory change.

Key Responsibilities:

Regulatory Compliance Program Management

  • Develop, maintain, and execute the compliance program, including risk assessments, control testing, monitoring plans, and issue remediation.

  • Translate regulatory requirements into practical policies, procedures, and controls for investment management activities.

  • Manage and perform compliance calendars, regulatory filings, attestations, certifications, and deadlines; ensure timely and accurate submissions.

Regulatory Change Management and Advisory

  • Monitor regulatory developments (e.g., AMF, OSC & SEC) and emerging standards.

  • Conduct impact assessments; lead cross-functional implementation of new or amended requirements, including training, system changes, and control updates.

  • Provide pragmatic compliance advisory to business stakeholders on product launches, trading practices, marketing/distribution, ESG disclosures, and outsourcing/vendor arrangements.

Governance Framework and Committees

  • Maintain the firm’s governance framework, charters, and escalation protocols; coordinate, as needed, activities of risk/compliance related committees and relevant working groups.

  • Prepare materials, metrics, and reporting for senior management and board/oversight committees; track actions and decisions.

  • Support conflicts-of-interest management, code of ethics oversight (personal trading, gifts/entertainment, outside activities), and whistleblowing channels.

Monitoring, Surveillance, and Testing

  • Oversee thematic reviews and ongoing monitoring for employee compliance, trade surveillance, best execution, valuation, and market conduct.

  • Manage testing programs (first/second line controls) and quality assurance; document methodologies, findings, and remediation plans.

  • Implement robust exception management, root-cause analysis, and preventative measures to reduce repeat incidents.

Regulatory Filings, Disclosures, and Marketing Compliance

  • Ensure accurate and timely regulatory filings and disclosures.

  • Review and approve marketing/communications and RFP/DDQ responses for compliance with global distribution rules and local jurisdictional requirements.

  • Coordinate on contractual obligations and certifications related to compliance and governance.

Policies, Training, and Culture of Compliance

  • Manage policy lifecycle management: drafting, approval, distribution, attestation tracking, and periodic review.

  • Develop and deliver targeted training for employees such as the investment teams, investment operations, and senior leadership; measure effectiveness and completion.

  • Champion a culture of accountability, integrity, and continuous improvement.

Data, Technology, and Operational Excellence

  • Partner with Technology/Operations to enhance compliance systems, data quality, and automation (e.g., rule coding, attestations, surveillance dashboards).

  • Lead user acceptance testing for compliance-related tool changes; define requirements and success criteria.

  • Establish KPIs/KRIs; produce standardized dashboards and reports for management and regulators.

Vendor and Outsourcing Oversight

  • Participate in due diligence on critical vendors/ service providers (e.g., proxy advisors, employee compliance system provider) and monitor SLAs and risk controls.

  • Work with Procurement and senior management, among others, to ensure outsourcing arrangements meet regulatory expectations, including resilience, data protection, and oversight responsibilities.

Team Leadership and People Management

  • Lead a small compliance/governance team (i.e. 2 persons but could increase potentially).

  • Responsibilities include recruitment, onboarding, mentoring, performance management, and professional development planning.

  • Set clear objectives and KPIs, allocate work, and ensure high-quality deliverables and timely completion of monitoring/testing and filings.

  • Foster collaboration with business partners and promote consistent standards and documentation for the compliance/governance team.

  • Build succession plans and cross-training to ensure coverage during peak periods or examinations.

Qualifications:

  • Education: Bachelor’s degree in Finance, Economics, Business, Law, or related field; advanced degree or professional certifications (e.g., CFA, FRM, Canadian Securities Institute courses) preferred.

  • Experience: 7–10+ years in regulatory compliance within investment management, asset servicing, or financial services; multi-jurisdiction and multi-product experience strongly preferred.

  • Regulatory Knowledge: Deep familiarity with Canadian regimes (NI 31-103, NI 24-101, NI 81-102/81-105 where applicable, CSA Staff Notices, OSC/AMF guidance) and working knowledge of US (SEC/’40 Act), UK/EU (FCA/MiFID), and other relevant jurisdictions.

  • Technical Skills: Proficiency with compliance monitoring tools; governance, risk and compliance systems, data/reporting platforms and Excel/SQL; experience with analytics or workflow tools a plus.

  • Competencies: Strong risk/control mindset, analytical rigor, project management, stakeholder influence, and clear, concise communication.

  • Personal Attributes: High integrity, attention to detail, sound judgment under time pressure, and ability to balance commercial objectives with regulatory obligations.
