Job Description:

The Corporate Secretary's Department (CSD) provides strategic governance support to Sun Life’s Board of Directors and Executive Team, as well as overseeing various shareholder programs and initiatives. As Manager, Board Governance, you'll report to the AVP, Managing Counsel & Assistant Corporate Secretary and work on critical Board and governance matters, including coordinating Board and committee meetings and activities, conducting research, reporting on governance best practices, and leading special projects to enhance Sun Life’s governance framework and the effectiveness of the team.

What will you do?

Work collaboratively with the VP, Associate General Counsel & Corporate Secretary, AVP, Managing Counsel & Assistant Corporate Secretary and peers to:

  • Plan and coordinate Board and shareholder meetings to ensure meetings are efficiently run while complying with internal policies and regulatory requirements

  • Prepare meeting materials, including agendas, minutes, notices, and resolutions

  • Oversee the timely compilation and distribution of Board materials (using our board portal)

  • Manage team initiatives, including coordinating team huddles and deliverables

  • Provide governance and Board administration support, including with respect to director onboarding and education, Board effectiveness processes, and the preparation and review of director and officer questionnaires

  • Assist in the review and preparation of continuous disclosure documents, including the management information circular and other public documents and reports

  • Conduct benchmarking and research to ensure alignment with governance best practices and applicable legislation, regulations, policies, and rules

  • Maintain corporate records, governance documents, and procedures in compliance with internal practices and legal and regulatory requirements

  • Support audit information requests and regulatory submissions

  • Manage complex matters and perform various other duties as delegated or assigned, including participating in special projects as required

What do you need to succeed?

Qualifications and experience:

  • Post-secondary degree with 7+ years of relevant experience (or equivalent combination)

  • Law clerk, paralegal, or governance professional designation is considered an asset

  • Governance experience in a Corporate Secretary's Department of a public company or law firm

  • Advanced proficiency with Microsoft Office (Word, PowerPoint, Excel, Outlook)

  • Demonstrated professionalism, integrity, and discretion, with a strict commitment to maintaining the confidentiality of privileged information and handling sensitive issues with tact

  • Excellent written and verbal communication skills

  • Exceptional organizational skills and attention to detail

  • Proactive in prioritizing and managing competing demands

  • Sound judgment and decision-making capabilities, especially under time pressure or when handling sensitive Board matters

  • Work effectively in a high volume, paperless environment

  • Work collaboratively while engaging and influencing others as needed

  • Coordinate workload of colleagues and other team members as needed; and potential to manage other team members

  • Identify key issues or root cause of problems

  • Prioritize work with minimal direction, based on understanding of business or strategic priorities

The Base Pay range is for the primary location for which the job is posted. It may vary depending on the work location of the successful candidate or other factors. In addition to Base Pay, eligible Sun Life employees participate in various incentive plans, payment under which is discretionary and subject to individual and company performance. Certain sales focused roles have sales incentive plans based on individual or group sales results.
