M&A / PE Paralegal (12 month Fixed Term Contract)

We are currently searching for a Paralegal to join our growing M&A PE department based in our London office.  This will be an initial 12 month fixed term contract, but has the potential to be extended. The ideal candidate will have previous corporate M&A and/or Private Equity experience within a City law firm.

JOB RESPONSIBILITIES:     

  • Assist with drafting, reviewing and organising transaction documents, including NDAs, SPAs, disclosure schedules, SHAs, management incentive plans, corporate approvals and ancillary agreements.
  • Coordinate deal execution, including managing signing/closing checklists, collating signature pages and preparing closing sets/bibles.
  • Manage due diligence tasks: collecting documents, maintaining trackers, liaising with internal teams and foreign counsel, and summarising key findings.
  • Maintain and update transaction trackers, cap tables, data rooms and other client/internal workflow tools.
  • Assist with Companies House filings and financial and corporate information checks, including verifying corporate records.
  • Liaise directly with clients, counsel, counterparties and internal deal teams to ensure efficient information flow.
  • Conduct legal and market research to support Associates on transaction-related issues.
  • Handle general administrative support, such as proofreading documents, preparing filings and managing deal correspondence.

 

JOB SPECIFICATIONS:  

Education:

  • Three A-levels at grades “AAB” or above, or equivalent;
  • University degree at grade 2:1 or above, or equivalent; and
  • Previous experience within M&A and/or Private Equity.

Skills and abilities:

  • Strong IT skills in Word, Excel, PowerPoint, PDF-handling software, email and use of online resources, as well as a willingness to learn and become proficient using unfamiliar software applications;
  • Willingness to do overtime at short notice and to work at weekends (if required and by covering on weekend rota);
  • Enthusiasm for tackling new and unfamiliar tasks or areas of law;
  • Ability to work well without close supervision;
  • Ability to keep on top of high volumes of email traffic;
  • High level of attention to detail;
  • Excellent communication skills;
  • Ability to work well with others and assist co-workers;
  • Willingness to tackle administrative tasks (e.g. printing, maintaining case files, etc.) as well as more complex legal work;
  • Ability to identify problems, gather information, develop and assess alternative courses of action and propose solutions to supervising Attorneys;
  • Logical and analytical approach to problem solving;
  • Ability to use initiative and also to know when to ask for guidance;
