What You’ll Do

The Corporate Legal team at Authentic oversees the Company’s large-scale M&A and other corporate transactions (including joint ventures and growth equity investments), as well as other corporate and commercial matters, including corporate governance and operational legal matters. The Corporate Legal Summer Intern will support the team on a broad range of corporate and commercial matters, including M&A transactional support, corporate governance, and operational agreements and related matters. This role is ideal for a current law student with a strong interest in corporate and M&A practice within a dynamic, fast-paced environment.  Over the course of the Summer Program, the intern will gain hands-on exposure to in-house legal operations at Authentic. The intern will report to the Vice President, Associate General Counsel, Corporate and M&A, but will readily engage and work with each member of the Corporate Legal Team.

What you’ll be working on

The intern’s duties and responsibilities will include the following:

Legal Research – conduct legal research on a variety of corporate, regulatory, and transactional matters. This may include reviewing statutes, regulations, case law, and regulatory guidance to support the Corporate Legal Team in advising the Company. 

Due Diligence – assist with legal due diligence in connection with corporate transactions, strategic initiatives and/or internal reviews. These responsibilities may include reviewing contracts, corporate records, and other documentation to identify key terms, obligations, and potential risks. The intern may also help organize diligence materials, maintain tracking lists and summarize findings for the Corporate Legal Team.

Document Preparation – support the preparation, review, and organization of legal documents used in corporate and commercial matters. This may include drafting or revising agreements, corporate governance documents, internal policies, and legal correspondence under the supervision of the team’s attorneys. The intern may also assist with assembling signature packets, maintaining document templates and ensuring proper filing and record-keeping.

Must Haves:

  • Currently enrolled  law student with a strong interest in corporate law.
  • Available to work up to 20 hours per week.
  • Able to work onsite in our MIA office.
  • Willingness to get your hands dirty and make things happen.
  • Strong written and verbal communication skills.
  • Comfortability in a high-paced, collaborative environment.
  • Detail oriented
  • Proficient knowledge of Microsoft Office and G Suite.
  • Working familiarity with AI-enabled research and productivity tools.
  • Process-driven and constantly looking for ways to streamline and simplify complex tasks.

 

Primary Location Salary Range

The hourly rate for an undergraduate student intern in New York is $18.
The hourly rate for a graduate student intern in New York is $22.
