Join Our Team as an M&A Lawyer at Axiom

Location: San Mateo 

We are currently seeking an M&A Lawyer to work with one our our large semiconductor clients. Ideal candidates will have a strong background in M&A law, with a proven track record of successfully managing and executing complex M&A transactions. Ideal candidates would be willing to work hybrid in San Mateo, California. This is a full time, high visibility role embedded with the legal team and working cross functionally with finance, HR, IP, privacy, engineering, and executive leadership.

Responsibilities:

  • Support IPO and transaction readiness efforts by:
  • Strengthening corporate governance and subsidiary management, including foreign entities
  • Ensuring diligence quality documentation across material contracts, policies, and compliance frameworks
  • Supporting M&A, strategic investments, and corporate transactions as needed
  • Reducing reliance on outside counsel for core corporate execution work
  • Helping build the internal infrastructure necessary to withstand investor and acquirer scrutiny
  • The role requires someone who can operate in both preparation mode and deal mode, with the ability to execute independently while escalating strategic issues appropriately

Qualifications:

  • Five to eight years of corporate and M&A experience at a leading law firm
  • Significant exposure to IPO transactions, public company readiness, or sponsor backed M&A
  • Experience supporting private equity transactions strongly preferred
  • Technology sector experience highly desirable
  • Strong drafting skills across purchase agreements, disclosure schedules, board materials, and corporate documentation
  • Solid understanding of capitalization tables, equity plans, and subsidiary structures
  • Familiarity with diligence processes and investor expectations
  • Ability to translate legal issues into practical business risk assessments

Preferred Skills:

  • Experience reviewing and drafting ancillary transaction documents
  • Experience managing data room materials and coordinating cross functional inputs
  • Experience assisting in issue spotting across IP, employment, litigation, regulatory, and cross border matters
  • Experience interfacing with finance on capitalization, equity administration, and structural matters
  • Experience coordinating with HR on equity plans, retention structures, and employment related diligence

Compensation:

The estimated total compensation for full-time Axiom attorney roles is $104,500-325,000 per year and for non-attorney roles is $71,250-309,750 per year. Compensation decisions are based on various factors, including, but not limited to, experience, skills, certifications, location, and business needs.  Employees may be eligible for additional benefits, including health, dental, and vision insurance; paid holidays and PTO; flexible work arrangements; and professional development opportunities and tools.
