We are looking for a Legal Manager to work in our offices in Makati. This position will report directly to the Head of Legal for Southeast Asia.

The Legal Manager will provide strategic legal and regulatory guidance across Acciona Energía Philippines’ operations, supporting commercial contracts, financing transactions, energy agreements, corporate governance, and M&A activities. You will coordinate with internal teams and external counsel to ensure compliant, risk-aware decisions, effective contract execution, and dispute management, enabling the company’s growth and operational excellence in the Philippine renewable energy sector.

Job Description

  • Contracting and Commercial Advisory: Draft, review, negotiate, and manage a broad range of commercial and project-related agreements supporting Acciona Energía’s operations in the Philippines, including service agreements, equipment and supply contracts, operation and maintenance agreements, framework and turnkey (EPC) contracts, financing-related contracts, land lease agreements, right-of-way agreements, and other project and corporate contracts.
  • Corporate Governance and Secretarial Coordination: Coordinate with corporate secretaries on all corporate secretarial matters of Acciona Energía Group companies in the Philippines, including the review and approval of minutes of meetings of boards of directors, management bodies, and shareholders, as well as related corporate documentation.
  • Legal and Regulatory Advisory: Provide ongoing legal, regulatory, and corporate advice to management and decision-making bodies, supporting sound governance and risk-aware business decisions.
  • Project Financing: Draft, review, and negotiate financing documentation, including loan facility agreements, mortgages, pledges, and other security instruments; coordinate with internal stakeholders involved in financing transactions; and manage interactions with external legal counsel and financing parties.
  • Tender Process and Energy Management:  Provide support to internal teams in connection with energy sales tenders and procurement programs (including public or private initiatives), and assist in the drafting, negotiation, and closing of power purchase agreements (PPAs) and related energy supply contracts.
  • Mergers and Acquisitions (M&A): Coordinate legal due diligence processes for acquisitions, divestments, and joint ventures; prepare investment and legal risk assessment reports identifying key risks and contingencies; draft and negotiate transaction documents such as NDAs, MoUs, shareholders’ agreements, asset or share purchase agreements, development services agreements, and binding and non-binding offers; and monitor transaction execution, including satisfaction of conditions precedent and post-closing obligations.
  • Contract Management and Execution Support: Support internal teams during the execution, and performance of contracts, including monitoring compliance with contractual obligations, advising on contractual interpretation, and managing contractual breaches, variations, and claims.
  • Dispute and Pre-Contentious Matters: Monitor and support the handling of litigation, arbitration, and pre-contentious matters, coordinating strategy and documentation with external counsel and internal stakeholders.
  • Coordination with External Counsel: Coordinate with external legal advisers, to ensure all outsourced legal services are effectively managed, strategically aligned, and delivered in accordance with the company’s legal, commercial, and governance objectives.
  • Regulatory Monitoring and Reporting: Maintain regular reporting to hierarchical superiors; participate in periodic meetings; and ensure continuous updating of legal tools, reporting systems, and processes within the Legal Department.

Required Skills and Competencies

  • Law Degree

  • Experience in Law Firm of at least 5 years

  • Experience in Corporate Law and M&A

  • Strong understanding of contract structures and commercial agreements, with experience drafting, reviewing, and negotiating contracts.

  • Skilled in drafting both simple and complex contracts in English

  • Full english language working proficiency
