The Legal & Regulatory Team
- The Legal & Regulatory team sits within the Corporate Affairs, Risk and Legal (CARL) in Telstra. CARL engages with our external stakeholders to support the business, shapes and influences outcomes, builds and maintains relationships with government, regulators and media, and helps mitigate legal and regulatory risk. The role with us
We are seeking an M&A and corporate advisory lawyer (4+ years PQE) with experience advising on and negotiating strategic acquisitions, divestments and other corporate transactions, both domestic and international. The role will suit a lawyer looking for the next step in their career, seeking an autonomous role at the cutting edge of some of Telstra’s most strategic projects working with, and learning from, an exceptional team of lawyers and specialists.
Important note: the role can be based across Australia and will be in hybrid work enviornment.

Key responsibilities
As a Legal Counsel – M&A and Corporate Advisory, you draw on your expertise and evolving breadth of experience to deliver against the following responsibilities:
- Act as legal lead on strategic acquisitions, divestments, joint ventures and other corporate transactions, both domestic and international. Advise commercial stakeholders across the full transaction lifecycle including structuring, due diligence, negotiation and execution, while managing material legal risk and coordinating external advisers.
- Provide corporate advisory legal support for an ASX‑listed company, including board and committee processes, continuous disclosure, governance and capital management matters. Work closely with the Office of the Company Secretary, Investor Relations and other teams to help Telstra manage material legal and reputational exposure.
You will do this by:
- Giving legal advice that is clear, commercial, fit-for purpose and tailored to the audience based on your understanding of the strategic priorities, legal requirements and current and emerging risks
- Effectively managing an appropriate volume of legal work of a complexity commensurate with your experience by being well organised, delivering on agreed commitments and prioritising competing demands
- Authentically engaging, building, and maintaining trusted and collaborative working relationships across SEAL RC team, as well as internal and external stakeholders, by assisting them with legal matters, processes and standards
- Applying a continuous improvement mindset when providing legal support to clients, by sharing great ideas and contributing to initiatives which help drive productivity improvements and maximise client experience outcomes
- Demonstrating continuous learning by expanding your depth and breadth of experience in your practice area, including staying up to date with new and emerging legislation, case law and regulations. You also adopt and develop proficiency in technology tools and an agile way of working
- Applying your critical thinking and problem-solving abilities to identify legal issues and risks that may have a significant impact on the business, working collaboratively with team members to resolve them promptly
- Having a customer first mindset
- Providing training and updates to internal clients and developing precedents and tools to enhance client legal knowledge and expertise in collaboration with other lawyers.
About you
To be successful in the role, you'll bring skills and experience in:
- Qualifications: Bachelor of Laws (or equivalent) and admitted to practice in Australia
- Relevant Post-Qualified Experience (PQE) (4-8 years desirable)
- Capability:
- M&A legal and corporate advisory experience in a leading domestic law firm or international firm with strong technical training
- Drafting and negotiating complex M&A transaction documents and other commercial contracts, in domestic and international contexts
- Strong legal project management skills and commercial acumen built through leading the drafting and negotiation of key transaction documents and managing discrete workstreams on complex M&A transactions and other significant matters.
- Ability to build strong business relationships, engage with and influence senior stakeholders and explain complex issues clearly and concisely
- Enjoy problem solving and demonstrate an adaptable and flexible mindset
- Ability to manage projects autonomously and under pressure, as well as balancing and prioritising workload
- Leverage your experience and technical know-how to provide high quality, independent and strategic legal advice to deliver strong business outcomes while meeting legal and regulatory requirements.
