Salary: £80,000 - £85,000 per annum (depending on experience)
Contract: Full-time, 37.5 hours per week, Monday-Friday (day shift)
An opportunity has arisen for a Legal Counsel position at our site in Par, Cornwall. We are seeking a dedicated individual to join our team who will play a crucial role in providing integrated legal support for a specific market, focusing on both commercial enablement and operational risk management.
The primary support areas are:
a given commercial market (including Sales, R&D and marketing/BD) on contracts and projects (especially the drafting and negotiation of commercial and real estate contracts)
related hub/ operational sites serving that market (local purchases, real estate/environmental law, admin inspections etc), including in first place the UK based operations
claims / litigation related to the given market and / or related sites
corporate secretarial follow up of legal entities hosting those sites
roll-out of compliance programs

Summary of the role:
Imerys is organized around four Business Areas (BAs). The Business Legal Counsel will join the Performance Minerals BA for the EMEA region. The PM EMEA BA serves 4 separate markets, all of them being led by a dedicated Sales Market Vice-President (VP): Ceramics, Filtration and Life Sciences (FLS), Pulp, Packaging and Plastics, Adhesives/Sealants, Rubber and Paints/Coatings (PARP).
The Business Legal Counsel provides dedicated legal guidance on all matters (excluding labor and tax) to the Imerys Sales teams and associated industrial sites, including UK operations, involving:
Commercial contracts (prepare templates, draft, review and negotiate) in all domains (including: sales, purchasing, S&T in collaboration with the IP team, and real estate)
Commercial Property / Real Estate advice / Preliminary Environmental law advice
Claims and disputes: Manage legal actions (court, arbitration, mediation) with external lawyers, contribute to the settlement of high amount claims
Insurance: manage insured losses in collaboration with the Insurance legal team
Corporate: Supervise corporate housekeeping of entities (annual general assembly, D&O appointments, delegations of authority/POAs)
M&A in collaboration with the M&A legal team
Antitrust & Compliance (anti-bribery, trade restrictions, GDPR, etc):
Roll out the compliance programs designed by the Compliance legal team
Provide user-friendly, clear and concise legal guidance
Legal Operations: use the digital tools of the Imerys legal department to access and share information with the legal team.
Do you have the following attributes?
BSc degree in law
Master of Business Law, international law or contract law from a recognized UK university
Min. 4/5 years of experience in business law firms and/or within international industrial groups.
Generalist business law background with ideally an expertise in property / real-estate law.
Fluent in English (essential)
Second language e.g. French (desirable)
Ability to travel very occasionally throughout the year (2 or 3 times) - mainly to Paris, France
Flexible and able to adapt to changes and deadlines
Well organised with the ability to handle multiple projects
Analytical and synthetic mindset
Hands-on, energetic and a motivated self-starter
Strong communication skills
Team player, supportive of other team members where needed

Ability to apply legal knowledge to help create practical business solutions
