Toronto, Ontario, Canada (Hybrid)Commercial Legal Counsel supporting the business in bids and project advisory work for the Signalling and Rail Solutions Line of Business in the Americas region.
Key Accountabilities:
Support bidding, negotiation, drafting, and dispute resolution for major train manufacturing, signalling, construction, and railway technology projects, with a focus on manufacturing and maintenance contracts (MSAs, TSAs, TSSSAs), PPPs, JVs/consortium agreements, and supply chain contracts.
Collaborate with cross-functional teams to assess and mitigate legal, commercial, and reputational risks, working closely with contract managers and other operational stakeholders.
Support the delivery of training, templates, tools, and practices across Canada.
Provide pragmatic, business-focused legal advice to stakeholders. Topics include regulation, construction, intellectual property, data protection, corporate law, M&A, procurement, real estate, litigation, and employment.
Ensure compliance with laws and regulations across commercial, corporate, and regulatory aspects.
Work closely with the compliance team to uphold ethical conduct and compliance standards.
Key Requirements:
Admitted to practice law in Ontario (member in good standing in this jurisdiction).
5+ years of experience in a highly ranked law firm or in-house legal team.
Strong knowledge of Ontario law and practice, particularly in sourcing and procurement.
Sound risk management and commercial acumen.
Familiarity with Canadian corporate governance and documentation.
Ability to work independently and collaboratively within a team.
Produce high-quality, accurate outputs with minimal support.
Strong team player who can build and maintain professional relationships.
Effective persuasion and influencing skills.
Preferred Qualifications:
Admitted to practice law in Quebec (member in good standing in this jurisdiction).
Additional language skills in French or Spanish are an asset.
Experience with large infrastructure projects, the transportation sector, or signalling systems is considered an asset.
