How will you CONTRIBUTE and GROW?

Duties & Accountabilities

Reports to Senior Legal Counsel directly and functionally to Managing Director of Air Liquide & Sothern Industrial Gas Malaysia, Brunei Oxygen.

Provide legal support and advice on the commercial entity and aspects which includes business activities, project contracts and asset deals. This role will also support 40% of Global Business Services and Cryogenic Tank Services Malaysia (CTS) in its capcity as our affiliate in Malaysia. The Global Business Services consists of departments such as Procurement, Digital and Information Technology (IT), Finance and Logistics.

Duties will be to assist other Legal Counsels in the team, and members of the business with the contractual aspects involved in the sales and bidding processes - e.g., carrying out contract reviews and summaries, negotiating, assisting with internal approvals, and drafting mark-ups or commentary on client contracts at all stages of the contract lifecycle, assest deals.

Provide legal advice and support to various functional stakeholders;

Ethics compliance including providing fraud training, handle or coordinate investigation of suspicious fraud cases;

Assist in leading bidding process and be responsible for contract drafting and reviewing operations as required.

Full scale legal support for M&A with strong contract drafting skill in both English; advice and support transactions to meet strategic business objectives; case management with M&A business team.

Participate in negotiation, reach agreement, and/or handle disputes (independently or with external support).

Corporate legal projects and other legal assignments.

Ability to work with stakeholders at various levels of the organization and build strong working relationships. Provide legal advisory to internal stakeholders. Gain better understanding of the business and its various processes to enhance the quality of legal advice given.

Regularly monitor legal updates (cases, legislation, regulations, media releases from relevant authorities and regulators) and ensure stakeholders and regularly updated on all relevant matters

Provides legal expertise and guidance on a wide range of employment-related issues by partnering with Head of Human Resources/ Human Resources Business Partner/ CoE Human Resources. This includes drafting and reviewing contracts, ensuring compliance with employment laws, advising on employee relations, and assisting with policy development. Play a key role in managing legal risks associated with HR functions.

Responsible in conducting legal trainings and user trainings to all internal stakeholders.

Conducting legal due diligence.

Assist the business to resolving any contractual dispute, administrative actions, with our customers and suppliers and any non-compliance with relevant government authorities and provide support in disputes, regulatory actions, legal notices

Other ad-hoc legal related duties and assignments as requested.

Travel required only dealing with local legal authorities as and when required.

or Certification or Adhoc Requirements

- Recognized law instituition with Bachelor of Law (LLB) degree is a must, LLM will be a plus; overseas education background is preferred;
- Admitted to PRC Bar will be a plus (not pre-requisite).

- Sophisticated legal skills and solid experience in M&A is strongly preferred;
- Excellent command of spoken and written English;
- Strong interpersonal and communication skill, mature and can work independently, good business acumen.
- Law degree or experience in relevant areas like corporate commercial, regulatory law and compliances, substantial experience in industrial/ manufacturing background would be an added plus point.

- The ability to manage multiple tasks, prioritize effectively, and work both autonomously and as part of a team is important.

- Demonstrate ability to handle highly sensitive and confidential information with integrity. - Demonstrate knowledge of adaptation of the law within the cultural/legal framework of Malaysia and Brunei
