Introduction:
The role exists within the IP Legal and Technology Agreements group, reporting to the Principal Lead, Technology Agreements. Drive negotiations and the contracting process, including execution and post‑execution management of new technology agreements related to semiconductor manufacturing process technology, EDA tools, and design IP.
Essential Responsibilities:
Drive negotiations and the full contracting lifecycle (execution and post‑execution management) for complex technology agreements related to design IP, EDA tools, semiconductor manufacturing process technology and product design. As part of lifecycle, ensure proper documentation of agreements, agreement approvals, payment milestones and coordinate Purchase Order requirements.
Manage and resolve commercial and contractual issues arising from supplier transitions, amendments, and ecosystem changes that impact GF IP and EDA programs.
Provide commercial and strategic guidance on technology transactions, including licensing scope, royalty structures, payment terms, limits of liability, and compliance obligations.
Partner closely with GF business, engineering, procurement, and finance teams to define commercial objectives, and work in close collaboration with IP attorneys on legal terms, risk assessment, and negotiation strategy.
The work is highly complex and requires operating at the intersection of semiconductor manufacturing technologies, GF business objectives, ecosystem dynamics, and technology/IP law.
Requires the ability to quickly understand technical and operational constraints and translate them into executable commercial and contractual terms.
Demands strong issue‑spotting, problem‑solving, and judgment skills, as well as the ability to influence outcomes across multiple stakeholders and external partners with competing priorities.
The role exists within the IP Legal and Technology Agreements group.
Accountable for leading multidisciplinary, high‑impact initiatives that directly affect GF’s technology roadmap, supplier relationships, financial exposure, and long‑term strategic positioning.
Responsible for ensuring agreements are not only legally sound, but operationally executable within GF systems, approval flows, and business processes.
Primary internal clients include executive management, product line and platform leadership, engineering organizations, procurement, and finance.
Serves as a commercial interface helping issues raised by and with external partners including IP vendors, EDA suppliers, technology collaborators, and strategic ecosystem partners.
Other Responsibilities:
Operate effectively in a highly complex environment requiring integration of technical, legal, and business considerations.
Identify issues proactively, develop solutions, and drive resolution across organizational boundaries.
Lead multidisciplinary projects and initiatives with significant impact on GF’s technology execution, supplier relationships, and long‑term success.
Required Qualifications:
Deep understanding of the semiconductor foundry business and IP and EDA business models. Previous work experience with IP or EDA provider preferred.
Strong experience navigating IP licensing models, royalty structures, and technology commercialization frameworks.
Proven ability to manage and track detailed workstream activities.
Proven ability to lead complex negotiations, synthesize technical, legal, and business inputs, and communicate clearly with senior stakeholders.
Excellent oral and written communication skills, including the ability to distill complex issues into concise executive‑level summaries.
B.S. or higher degree in engineering, physical sciences, or mathematics; a J.D. is not required.
Preferred Qualifications:
Prior experience in IP design or EDA software management.
