Independently manage day‑to‑day governance for multiple Irish and UK legal entities, including preparing resolutions, attending board meetings, and updating directors and officers.
Serve as Company Secretary for Irish entities, ensuring compliance with constitutions and Irish law, maintaining statutory registers, and submitting financial statements and other required filings.
Liaise with governmental authorities to complete filings and maintain registrations and commercial licenses in good standing.
Draft and coordinate execution of legal documents such as shareholder and board resolutions, minutes, and transactional documents.
Oversee digital workflows for powers of attorney and delegation documents, including gathering information, customizing templates, managing approvals, execution, and archiving.
Collaborate with team lawyers to advise GEHC businesses on legal entity governance; advise on legal entity signing authority.
Draft documents for entity creation, restructuring, mergers, share transfers, liquidations, and eliminations; manage related approval and execution processes.
Support restructuring projects, business development, acquisitions integration, and simplification initiatives, including project management.
Advise commercial teams on legal entity matters and prepare documentation for bids and proposals.
Provide KYC and entity documentation, such as structure overviews and commercial register extracts.
Work cross‑functionally with Tax, HR, Finance, and Commercial teams to improve legal processes.
Lead and coordinate external service providers and manage related engagements and invoices.
Maintain and enhance tools and databases tracking powers of attorney, legal entity data, and records.
Support development of training materials, governance updates, presentations, guidelines, and procedures.

Relevant entity / corporate governance experience acquired in a law firm or in-house legal department, including:
Strong knowledge of Companies Act 2014 and Irish corporate governance.
Experience working with document and data management systems.
Experience working with global teams on complex initiatives, driving issue resolution and recommending solutions.
Experience working with virtual teams.
Must be fluent in English, the ability to speak an additional language will be considered an advantage.
Degree from a postsecondary educational institution.
Ability to work independently and reliably.
Excellent communication skills (both written and verbal), including ability to communicate proactively, professionally, and timely.
Attention to detail and relevant timelines.
Strong ability to understand legal transactional and business requirements to be able to overlay varying implications to develop and drive optimal solutions.
Business-minded and customer-service focused.
Technologically savvy, including strong Word, Excel, PowerPoint, and Adobe skills.
