Responsiblities

· Own and manage the end-to-end contract lifecycle including drafting, reviewing, negotiating, executing and providing post-execution support for a broad portfolio of commercial agreements including MSAs, SOWs, DPAs, NDAs, licensing agreements, and technology procurement contracts ensuring alignment with internal policies, risk frameworks, and applicable regulatory requirements.

· Remediate contracts to ensure compliance with evolving legal, commercial and other regulatory requirements.

· Lead end‑to‑end development of the centralized repository and automation efforts for global alliance agreements and associated adoption/participation agreements (legacy and go‑forward).

· Conduct due diligence on CLM platforms, gather detailed requirements (metadata, approval workflows, access rights, configurations, integrations etc.), and develop a proposed implementation roadmap

· Support data cleansing, hierarchy mapping, and legacy agreements migration activities.

· Become trained on the selected CLM platform and maintain, update, and archive agreements within the centralized repository.

· Develop comprehensive agreements playbook/SOP/contracting overview.

· Get trained on AI legal solutions and design modules to automate the Agreement Business Impact Assessment (ABIA) framework.

· Standardize the ABIA scorecard and identify, evaluate, and prioritize broader automation opportunities across the centralized contracting hub.

· Contribute to core centralized contracting hub activities and support PMO efforts.

· Develop project trackers, status updates, and leadership reporting materials.

· Collaborate cross-functionally with Global OGC, Global R&R, Alliances teams, Finance, Operations, Compliance, and other stakeholders to ensure alignment and adherence to PwC policies and procedures.

· Coordinate with internal subject matter experts to gather inputs, resolve issues, and drive consistent execution.

· Articulate key questions and facilitate discussions with business teams/clients centered on risk considerations.

· Conduct thorough legal research and analysis to support decision making and centralized contracting hub initiatives.

· Stay current on relevant legal developments, industry trends, and regulatory changes to proactively address potential legal challenges.

· The role requires the ability to work effectively with multiple global stakeholders and cross‑functional teams across the PwC network, collaborating closely with global and territory enabling functions to support centralized contracting, CLM implementation, and automation initiatives. The ideal candidate is outcome‑ and solution‑oriented, with a positive, proactive mindset and strong problem‑solving capability, able to translate business and legal needs into structured processes and high‑quality deliverables for global leadership. Success in this role depends on building strong relationships, thinking creatively to streamline and modernize

workflows, and contributing to NACH’s broader mission of driving centralization, efficiency, and scalability across the network’s alliance contracting landscape.

Requirements:

· Law degree from a reputed law college (preferably 5 years integrated law course from National Law Universities)

· Minimum 5-7 years of relevant work experience, ideally with exposure to technology‑enabled legal operations, CLM systems, or contracting automation.

· Demonstrated ability to support technology‑enabled transformation, particularly in contract lifecycle management (CLM) systems, legal‑tech adoption, and process digitization.

· Aptitude for learning and configuring new legal platforms (e.g., CLM tools, GenAI solutions) with strong attention to detail and quality.

· Prior in-house counsel experience with specialized contracting focus would be an added advantage.

· Strong understanding of contract law, business laws, and regulatory frameworks applicable to the industry.

· Proven track record of successful contract negotiation and management, with the ability to drive favorable outcomes while balancing legal risks and business objectives.

· Exceptional analytical and problem-solving skills, with the ability to assess complex legal issues and provide practical solutions.

· Excellent communication and interpersonal skills, with the ability to effectively interact with internal and external stakeholders at all levels.

· Ability to work independently, manage multiple priorities, and meet deadlines in a fast-paced environment.

· Proficiency in legal research tools and software applications.

· Relevant certifications or professional memberships are a plus
