The Role
The General Counsel plays a critical, hands-on role in managing a broad spectrum of legal, regulatory, and compliance matters in close collaboration with the executive team.
Core Responsibilities:
This role is central to operations, covering commercial contracts, licensing, compliance, and data privacy. The primary objective is to ensure the company strictly adheres to all applicable laws and industry standards.
Impact and Challenge:
You will be working with some of the most sensitive data in any industry, governed by the strictest regulatory frameworks (including HIPAA, HITECH, and various state privacy laws). This work directly protects real people while simultaneously enabling the crucial data access that saves lives.
Strategic Focus:
The General Counsel will be responsible for navigating complex healthcare regulations at scale. This involves balancing strict compliance requirements with the necessary speed to maintain a competitive edge, structuring vital partnerships and contracts, and building robust legal frameworks that both enable innovation and protect millions of individuals.
Key Responsibilities
- Draft, review, and negotiate diverse range agreements including service contracts, Business Associate Agreements (BAAs), Master Service Agreements (MSAs), vendor contracts, distribution agreements, NDAs
- Conduct legal reviews of new business models, programs, and partnerships to ensure compliance with healthcare regulations
- Provide counsel on data privacy and HIPAA compliance across all platforms and services
- Support corporate governance initiatives, internal policy development, and entity management
- Advise on employment matters and vendor/contractor relationships as needed
- Offer strategic guidance on operational models and navigate federal and state regulations governing pharmacy and physician dispensing
- Build and oversee internal legal and compliance workflows, processes, and documentation systems
- Perform legal research and maintain current knowledge of evolving healthcare regulations and digital health law
Qualifications
- Juris Doctor (JD) from an accredited law school and active California State Bar membership with at least 5 years of practice experience
- Proven expertise in drafting, negotiating, and advising on diverse commercial agreements, with sharp instincts for spotting and analyzing critical legal issues
- Thrives in ambiguity and fast-moving environments, meeting tight deadlines with flexibility and composure. Healthcare startup experience is a plus
- Deep familiarity with U.S. privacy frameworks—including HIPAA, GDPR, and CCPA—is essential
- Healthcare industry experience required
- Equally comfortable operating tactically and thinking strategically
- Exceptional organizational abilities and sound prioritization judgment
- Experience counseling on digital health products, service design, and marketing initiatives
- Understanding of privacy considerations in AI/ML applications and AI governance principles
- Strong analytical and problem-solving capabilities
