Job Summary:
This tax leadership role works across the tax function to lead and direct the Company’s international tax and global transfer pricing. The role is designed to work closely with the Vice President – Tax to lead the team into the future by continuously improving processes and procedures to gain efficiencies, improve accuracy and maximize team members’ development and contributions.
The Director - Tax will be responsible for all aspects of U.S. international taxation, Canadian taxation, U.K. taxation, and global transfer pricing. The role will work closely with outside counsel to manage ongoing transfer pricing matters in bilateral procedures between the U.S. and Canada. The Director will lead the international tax and transfer pricing teams.
Job Description:
Major Responsibilities:
- Responsible for determination and reporting for all aspects of U.S. international tax including compliance, controversy, and the financial statement reporting and disclosures including maintenance of related SOX procedures.
- Responsible for review of internally-prepared Canadian tax returns including federal and provincial income tax, Goods and Services Tax (GST), and Harmonized Sales Tax (HST), as well as internally-prepared U.S. GAAP financial statement reporting for Canadian operations
- Responsible for review of UK tax returns as prepared by external advisor and U.S. GAAP financial statement reporting for U.K. operations as prepared by a local U.K. finance team.
- Responsible for transfer pricing contemporaneous documentation and compliance.
- Responsible for review of periodic transfer pricing calculations.
- Responsible for the development of and updates to written transfer pricing policies and intercompany agreements, including those in support of the Company’s developing Clean Energy and Decarbonization initiatives.
- Manages U.S. and international tax controversy and bilateral procedures.
- Supports customs valuation and inquiries on cross border transactions with Canada.
- Serves as a primary interface with the Company’s Corporate Controllership function with respect to international tax and transfer pricing related matters.
- Works closely with the Company’s external auditors with respect to the Company’s quarterly and annual tax provision processes specifically related to international tax and transfer pricing.
- Works with the Controllers and Corporate Planning Groups to ensure that Forecasts, Budgets, and Long-Range Plans accurately reflect the Company’s current international tax and transfer pricing positions.
- Identifies tax planning opportunities.
- Provides support for federal (U.S. international) and foreign income tax audits and examinations.
- Provides support for global mobility tax questions.
Incumbent Attributes:
- Bachelor’s degree in accounting required, with preference for a graduate tax degree (MST, MBA or LLM) and/or JD.
- Professional Certification (e.g., Certified Public Accountant and/or IPT-CMI designation) desirable.
- At least ten to fifteen years international tax experience, with tax experience with a large public accounting firm or large corporate organization preferred.
- At least five years managing a tax team of direct reports.
- Possession of well-developed tax technical expertise in all types of taxes and the ability to effectively address and manage complex matters involving past, present and future considerations and consequences.
- Strong critical and analytical thinking skills and the ability to identify issues and develop and implement practical solutions.
- Experience and familiarity with ERP systems.
- Strong communication (oral and written), interpersonal and negotiation skills and the ability to act as an advocate for the Company and to interact effectively with a wide variety of people within and outside CF.
- Ability to effectively manage multiple projects in a deadline-oriented environment.
Position Scope/Contribution
Breadth of Scope: This role routinely interacts with internal and external constituents and represents CF’s Tax Department. Occasionally, travel to various Company facilities may be required.
Management of the tax staff requires coordination of major responsibilities of the group. Time constraints can be demanding and require significant planning, organizing, directing of people, events, and resources.
Communications and Interpersonal Skills: Regularly communicates both in writing and verbally. Communicates with broad range of contacts. Information exchanged requires advanced knowledge in multiple areas.
Complexity: Able to solve typical problems that are encountered. Able to diagnose most situations by interpreting data and comparing to similar scenarios. Work involves detailed planning of own activities and immediate work team. May involve resource planning beyond work team. Advanced level of logical reasoning and critical thinking are required.
Decision Making Authority: Decisions are complex and impact area(s) managed and possibly impact areas not directly managed. More independent judgment is expected and used. Has accountability for the performance and results of a team within own discipline or function.
Financial Accountability: Given the size and scope of the function, revenue and expense are impacted based on the manager’s performance and results of oneself and those managed.
Strategic Influence: Primarily impacts the execution and achievement of short-term strategies through employees directly and indirectly managed. May also participate in the execution and achievement of long-term strategies.
The estimated base pay for the position is typically between $138,700 - $195,100
The actual base pay for the position may be influenced by factors such as education, training, skills, qualifications, competencies, years of experience, job-related knowledge, and scope of the role, and could be outside of the posted pay range.
