The Opportunity

We are seeking a dedicated and multilingual Director with extensive leadership experience in the Netherlands, specialising in the setup, governance and regulatory compliance of pharmaceutical and digital health operations. In this role, you will help establish our Dutch entity and act as resident statutory director with oversight and management for regulatory and operational compliance for a pharmacy warehouse entity. You will also act as Corporate Secretary, supervising the maintenance of key documentation and participation in board meetings.

What you’ll do

  • Facilitate the establishment and maintenance of Dutch office address, banking, and local bookkeeping, ensuring real substance in the Netherlands.
  • Review public records in all registered jurisdictions and review corporate records to establish gaps (if any) in relation to annual compliances.
  • Internal co-ordination for implementation and set-up of the entity on multiple software platforms.
  • Preparation of documentation to facilitate registered office and agent transitions.
  • Lead on UBO declaration and supporting documentation for submission.
  • Board-level fiduciary responsibility, ensuring decisions support the corporate interest and compliance with Dutch law.
  • Participate in board meetings in the Netherlands and maintain local documentation of meetings.
  • Ensure that important operational and policy decisions are made locally and are properly minuted.
  • Assistance with preparation and holding of Annual Meeting of Shareholders.
  • Preparation of a standard proxy, filling and monitoring of the obligatory statutory annual report with the Dutch Chamber of Commerce.
  • Supervise maintenance of company and shareholder registers, extension and filing of statutory financial statements, and manage changes to company address, directors, or structure.
  • Extraordinary Shareholders’ meeting support.
  • Ad-hoc Directors’ meeting support.

What you’ll bring to HeliosX

  • Proven experience in acting as Director for other similar firms
  • Proven experience in acting as Corporate Secretarial in other similar firms
  • Resident in Netherlands
  • Speak English, Dutch and German
  • Familiarity with digital pharmacy businesses
  • Experience supporting cross-border operations (Netherlands–Germany).
  • Leadership and team management abilities
  • Strong organisational and time management skills
